TSA Expenses means all out-of-pocket expenses and fees actually incurred or accrued by any of the TSA Companies in connection with this Agreement and the Arrangement prior to the termination of this Agreement, including without limitation, all fees and expenses of legal counsel, accountants, financial advisors, in connection with the negotiation, preparation, execution,
TSA Expenses means fees, premiums, expenses and other transaction costs (including original issue discount or other fees) payable or otherwise borne by the Borrower and/or its subsidiaries in connection with the TSA Transactions.
