TSX Listing definition

TSX Listing means listing on the TSX of the Common Shares issuable in connection with the Offering upon Escrow Release;
TSX Listing means the listing and posting for trading of the Intercure Shares on the TSX; “U.S. Registration Statement” has the meaning ascribed thereto in Section 2.2(c);
TSX Listing. The Company shall obtain the necessary approvals to list the Common Shares that comprise the Units and the Common Shares issuable on exercise of the Warrants on the TSX, which listing shall be conditionally approved prior to Closing. Hold Period: Subject filing (and having in effect) a resale registration statement in the United States with the United States Securities and Exchange Commission, (i) Common Shares and Warrants issued in connection with the Offering will be subject to an indefinite hold period as required by U.S. securities laws, and will also be subject to a four-month and one day hold period (which will run concurrently with the indefinite hold period in the United States) as required by Canadian securities laws commencing on the date of closing of the Offering and (ii) the Warrant Shares issued on exercise of the Warrants will be subject to additional hold periods under U.S. securities laws that shall commence on the date the Warrants are exercised, and (if applicable) will also be subject to a four-month and one day hold period from Closing (which will run concurrently with the indefinite hold period in the United States).

  • This will be necessary pursuant to ARQ’s continuous disclosure obligations under the TSX Listing Rules.

TSX Listing means the Corporation’s proposed listing of its Common Shares on the TSX.
TSX Listing. The Company shall list the Flow-Through Shares and the Common Shares issuable upon exercise of the Compensation Options on the Toronto Stock Exchange, which listing such be conditionally approved prior to the Closing Date.   • De-listing means, in respect of any relevant Securities, that the Exchange announces that pursuant to the rules of such Exchange, the Securities cease (or will cease) to be listed, traded or publicly quoted on the Exchange for any reason (other than a Merger Event or Tender Offer) and are not immediately re-listed, re- traded or re-quoted on an exchange or quotation system located in the same country as the Exchange (or, where the Exchange is within the European Union, in any member state of the European Union).
