The Purchaser covenants and agrees that this Agreement is subordinate to and postponed to any mortgages, or Court Ordered Charges arranged by UC Leslieville, the Vendor or the Receiver and any advances thereunder from time to time, and to any easement, license or other agreement concerning the Condominium and the Condominium Documents.

The sole recourse of the Developer against the Owner or the Construction Receiver in connection with such obligations shall be limited solely to a claim against the proceeds of the property and assets of UC Leslieville.
The Purchaser shall have no recourse against any property or asset of UC Leslieville, except for an unsecured claim against the estate of UC Leslieville and, to the extent expressly set out herein, the return of the New Deposit.
The Craft Loan will be secured by a charge against all of the property and assets of UC Leslieville granted under, and with the priority provided under, the Settlement Approval Order.
For greater certainty, it is expressly understood that the respective rights and remedies of the Lenders and the Administrative Agent as against the estate of UC Leslieville hereunder or under any other Loan Document or instrument executed pursuant to this Agreement are cumulative and are in addition to and not in substitution for any rights or remedies provided by law or by equity.
