UHN Additional Existing IP definition
UHN Additional Existing IP means UHN’s pre-existing background Intellectual Property relevant to the Additional Research Program, including, without limitation, the Additional Licensed Patents described in and/or listed in Section 1 of Schedule C, as amended from time to time, and the relevant Clinical Data; and

Each Party’s pre-existing background Intellectual Property relevant to the Additional Research Program (comprising UHN Additional Existing IP and MBI Existing IP) and any other Intellectual Property developed independently of, or arising from activities not solely and specifically conducted pursuant to the conduct of, the Additional Research Program by a Party (the latter hereinafter referred to as “UHN Other IP” and “MBI Other IP” respectively), shall be owned by that Party.
