UK Commitment definition

UK Commitment means, for each UK Lender, the obligation of such Lender to make UK Fixed Rate Loans, to make UK Overdraft Advances, and to participate in UK LC Obligations in an aggregate amount not exceeding the amount set forth in the Commitment Schedule or as set forth in any Assignment Agreement that has become effective pursuant to Section 12.3(a), as such amount may be modified from time to time pursuant to the terms hereof.

UK Commitment means BNY UK's obligation to make U.K. Subsidiary Loans in an amount not to exceed the amounts set forth in the U.K. Credit Agreements, as such amount may be reduced from time to time as provided therein.

UK Commitment. With respect to each U.K. Bank, the amount set forth on Schedule 1 hereto (or in such other document pursuant to which such U.K. Bank becomes a party hereto), as such Schedule may be updated from time to time in accordance with §2.1.5, §2.3(f), §2.4 and §21 hereof, as the amount of such U.K. Bank’s commitment to make U.K. Loans to the U.K. Borrowers and to purchase participations in U.K. Swing Line Loans, as the same may be reduced from time to time; or if such commitment is terminated pursuant to the provisions hereof, zero.

Examples of UK Commitment in a sentence

• The sum of the Total Canadian Commitment, the Total Domestic Commitment, the Total U.K. Commitment and the Total PR Commitment, each as in effect from time to time.

• For the avoidance of doubt and for purposes of clarification, the Maximum UK Commitment hereunder in respect of the UK Term Notes and the Current Interest Rate applicable to the UK Term Notes would be the same with or without the guarantees provided by the other Borrowers and other Credit Parties in respect of the UK Term Notes pursuant to this Agreement and the other Transaction Documents.

• A portion of the Maximum UK Commitment under the UK Term Notes was previously advanced to the UK Borrower by the Lenders as is set forth opposite such Lender’s or the applicable Holders’ name in column four (4) of Section 2(a) (UK Term Notes (USD) and column four (4) of Section 2(b) (UK Term Notes (GBP) of the Schedule of Lenders attached hereto.

• Immediately upon the making of a U.K. Swing Line Loan, each U.K. Bank shall be deemed to, and hereby irrevocably and unconditionally agrees to, purchase from the U.K. Agent a risk participation in such U.K. Swing Line Loan in an amount equal to the product of such U.K. Bank’s U.K. Commitment Percentage times the amount of such U.K. Swing Line Loan.

• Such fee shall be payable in arrears, on the first day of each month and on the UK Commitment Termination Date.

More Definitions of UK Commitment

UK Commitment means, at any time with respect to a UK Lender, the principal amount set forth beside such UK Lender’s name under the heading “UK Commitment” on Schedule 1 attached to the UK Credit Agreement or on the signature page of the UK Transfer Agreement pursuant to which such UK Lender became a UK Lender under the UK Credit Agreement in accordance with the provisions of Section 11.2 of the UK Credit Agreement, as such UK Commitment may be adjusted from time to time in accordance with the provisions of Section 11.2, and “UK Commitments” means, collectively, the aggregate amount of the UK Commitments of all of the UK Lenders. For the avoidance of doubt, “UK Commitment” shall include the UK Revolver Participant Commitment.

UK Commitment means the aggregate commitments of the UK Banks under the UK Facility.

UK Commitment means, as to the UK Swing Line Lender, its obligation to (a) make UK Swing Line Loans pursuant to Section 2.04(b), (b) make Committed Loans and purchase participations in Committed Loans pursuant to Section 2.01, and (c) issue Letters of Credit for the account of the Designated UK Borrowers and purchase risk participations in Letters of Credit pursuant to Section 2.03(b), in an aggregate principal amount at any one time outstanding, in the case of Loans and participations in Loans, and aggregate amount of L/C Obligations then outstanding in the case of Letters of Credit and risk participations in Letters of Credit, not to exceed, in the aggregate, the UK Sublimit.

UK Commitment means, with respect to each UK Lender, the commitment of such UK Lender hereunder to make Alternative Currency Loans and to issue and acquire participations in Letters of Credit, in each case denominated in Euro or Sterling, as such commitment may be (a) reduced from time to time pursuant to Section 4.11 or increased from time to time pursuant to Section 4.12, (b) reduced or increased from time to time pursuant to Section 2.4(k), and (c) reduced or increased from time to time pursuant to assignments by or to such Lender pursuant to Section 13.9. The initial amount of each UK Lender’s UK Commitment is set forth and so captioned in Schedule 2.1, in the Assignment and Assumption pursuant to which such Lender shall have assumed its UK Commitment, or in the Joinder Agreement pursuant to which such UK Lender became a UK Lender, as applicable.

UK Commitment means, as to each U.K. Lender, its obligation to (a) make U.K. Revolving Loans to the U.K. Borrowers pursuant to Section 2.01(c), and (b) purchase participations in U.K. Swing Line Loans, in an aggregate principal amount at any one time outstanding not to exceed the amount set forth opposite such U.K. Xxxxxx’s name on Schedule 2.01 or in the Assignment and Assumption or other documentation pursuant to which such U.K. Xxxxxx becomes a party hereto, as applicable, as such amount may be adjusted from time to time in accordance with this Agreement.

UK Commitment means, with respect to each UK Lender, the commitment of such UK Lender hereunder to make Alternative Currency Loans and to issue and acquire participations in Letters of Credit, in each case denominated in Euro or Sterling, as such commitment may be (a) reduced from time to time pursuant to Section 4.11 or increased from time to time pursuant to Section 4.12,
