UK Production Entity Inclusion Date definition

UK Production Entity Inclusion Date means, with respect to any UK Production Entity, the date on which each of the following has occurred, as determined by Administrative Agent in its reasonable discretion, (a) the UK Production Debt with respect to such UK Production Entity and all obligations in connection therewith have been repaid in full, (b) all documents governing such UK Production Debt shall have been terminated, (c) all Liens securing such UK Production Debt shall have been released or otherwise terminated, and (d) each member of the UK Production Entity Group shall have become a Guarantor hereunder to the extent required in accordance with Section 5.10 hereof and the Credit Parties shall have otherwise complied with Section 5.10 with respect to the UK Production Entity Group.

Related to UK Production Entity Inclusion Date

  • (1) ELIGIBLE ENTITY.—The term eligible entity’ means—

  • Target Closing Date means three (3) Business Days following receipt of the Approval and Vesting Order, or such other date as the Parties may agree.

  • Scheduled Black-Out Period means the period from and including the last day of a fiscal quarter of the Company to and including the business day after the day on which the Company publicly releases its earnings for such fiscal quarter.

  • Anticipated Closing Date shall have the meaning set forth in Section 1.6(a).

  • License Effective Date means, with respect to each Component System of the Licensed System that Company is given the right to access and use, the date as of which the Company is first given such right to access and use.

  • Initial Sale Time means 4:00 p.m. (Eastern time) on the date of this Underwriting Agreement.

  • Off-Peak Period means the period during which the demand on an electric utility system is not at or near its maximum. For the purpose of this section, the off-peak period includes all hours that are not in the peak period.

  • Delayed Closing Date means the date, set in accordance with section 3, on which the Vendor agrees to Close, in the event the Vendor cannot Close on the Firm Closing Date.

  • ZERO DATE means the date of issue of LETTER OF INTENT (LOI) or issue of WORK ORDER, whichever is earlier.

  • Target Business Acquisition Period means the period commencing from the effectiveness of the registration statement filed with the SEC in connection with the Company's IPO up to and including the first to occur of (i) a Business Combination; or (ii) the Termination Date.

  • disclosure date means either of the following:

  • Closing Date Business Plan means the set of Projections of Borrower for the 1 year period following the Closing Date (on a month by month basis), in form and substance (including as to scope and underlying assumptions) satisfactory to Agent.

  • Testing Date means 31 December of each year.

  • Reference Balance Sheet shall have the meaning set forth in Section 3.06(a).

  • Transition Date means the date on which this contract comes into effect for all purposes. Schedule 1 (Contract Particulars)

  • Scheduled Closing Date Has the meaning specified in the Note Purchase Agreement.

  • Estimated Closing Date Balance Sheet shall have the meaning set forth in Section 2.3(a) hereof.

  • Second Closing Date means the date of the Second Closing.

  • Issuer Call Commencement Date means the date specified as such in the definition of the relevant Series in the applicable Final Terms;

  • Leave application date means the date on which a person granted stateless leave made an application to remain in the UK as a stateless person under the immigration rules (within the meaning given in section 33(1) of the Immigration Act 1971).

  • Preliminary Closing Balance Sheet shall have the meaning set forth in Section 2.3(c)(i).

  • Domestic septage means either liquid or solid material removed from a septic tank, cesspool, portable toilet, Type III marine sanitation device, or similar treatment works that receives only domestic sewage. Domestic septage does not include liquid or solid material removed from a septic tank, cesspool, or similar treatment works that receives either commercial wastewater or industrial wastewater and does not include grease removed from grease trap at a restaurant.

  • Academy Financial Year means the year from 1st September to 31st August or such other period as the Secretary of State may from time to time specify by notice in writing to the Academy Trust;
