In the event that any filing, application, approval or consent is required in connection with any such Transfer, the transferring Member shall promptly make such filing or application or obtain such approval or consent, at its sole expense, and shall reimburse the Unaffiliated Members for any costs or expenses (including attorneys' fees) incurred by such Member in connection with any filing, application, approval or consent.
Fees and/or compensation paid to Unaffiliated Members and reasonable expenses of the members of the Committee pursuant to Section 3.06(3), including premiums for liability insurance, if applicable, shall be regarded as appropriate Trust administration expenses payable pursuant to Section 6.01.

The fee and/or compensation arrangements for the initial Unaffiliated Members have been approved by the CPUC.2 If the fee and/or compensation arrangements with any Unaffiliated Member should be changed for any reason whatsoever, within ten (10) days of such change, the Company shall furnish to the CPUC a statement in writing fully describing the new fee and/or compensation arrangements, and such changes shall be subject to CPUC Approval.
The Group Members may replace their Group Agent from time to time upon written notice to all Unaffiliated Members.
In the event that any such successor Member Representative becomes Incapacitated, dies or resigns as a Member Representative, then a successor Member Representative shall be elected by the affirmative vote of a Majority-In-Interest of the Unaffiliated Members.
