Uncontested Claims definition

Uncontested Claims. As defined in Section 10.12.
Uncontested Claims means any claims for Damages specified in any Notice to which an Indemnifying Party shall not have objected in writing within ten (10) Business Days following receipt of such Notice.
Uncontested Claims shall have the meaning set forth in Section 8.6(a).

More Definitions of Uncontested Claims

Uncontested Claims means any Direct Claims for Losses to which an Indemnifying Party shall not have objected in writing pursuant to Section 10.5.2 within 30 days following actual receipt of such notice properly delivered pursuant to Section 10.5.2.

Related to Uncontested Claims

  • Contested Claim means any Tax, Indebtedness or other claim or liability (i) the validity or amount of which is being diligently contested in good faith, (ii) for which adequate reserve, or other appropriate provision, if any, as required in conformity with GAAP shall have been made, and (iii) with respect to which any right to execute upon or sell any assets of the Company or of any of its Subsidiaries has not matured or has been and continues to be effectively enjoined, superseded or stayed.

  • Unresolved Claims has the meaning set forth in Section 7.6(c).

  • Disputed Claim means any Claim that is not Allowed.
