Under Option. A the Death Benefit shall be the greater of the Death Benefit Standard or the following: 1. the Face Amount on the date of the Insured's death; less 2. the amount of any Monthly Deductions then due; less 3. any debt to us on this policy.

Examples of Under Option in a sentence

  • Under Option 1, the amount will be the value of the remaining payments for the specified period discounted at the rate of interest used in determining monthly income.

  • Under Option A, the death benefit will be equal to the greater of (i) the sum of the current Specified Amount and the Accumulated Value, or (ii) the Accumulated Value multiplied by the Specified Amount factor.

  • Under Option B, the customer provides their own Renewable Energy Resource.

  • Under Option A, Consumers Energy will supply the Renewable Energy Resource from designated renewable facilities.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Related Option means an Option with respect to which a Stock Appreciation Right has been granted.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Make-Whole Exercise Solely for purposes of this Section 6.2, the “Redemption Fair Market Value” shall mean the volume weighted average price of the Ordinary Shares during the ten (10) trading days immediately following the date on which notice of redemption pursuant to this Section 6.2 is sent to the Registered Holders.   • Vested Portion means, at any time, the portion of an Option which has become vested, as described in Section 3 of this Agreement.

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

  • Director Option means an Option granted pursuant to Section 6.

  • Conversion Option means the Company’s option to convert some or all of the Series D Preferred Stock into that number of shares of Common Stock that are issuable at the then-applicable conversion rate as described in Section 8(c) of these Articles Supplementary.

  • Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:

  • Option means a stock option granted pursuant to the Plan.

  • Promised Options means promised but ungranted Options that are the greater of those (i) promised pursuant to agreements or understandings made prior to the execution of, or in connection with, the term sheet or letter of intent for the Equity Financing or Liquidity Event, as applicable (or the initial closing of the Equity Financing or consummation of the Liquidity Event, if there is no term sheet or letter of intent), (ii) in the case of an Equity Financing, treated as outstanding Options in the calculation of the Standard Preferred Share’s price per share, or (iii) in the case of a Liquidity Event, treated as outstanding Options in the calculation of the distribution of the Proceeds.

  • Parent Option means any option to purchase Parent Common Stock which was granted pursuant to a Parent Option Plan.

  • Initial Exercise Price shall have the meaning set forth in Section 2.4.1.

  • Aggregate Option Exercise Price means, as of any date of determination, the sum of the exercise prices payable upon exercise in full of all Vested Options held by all Optionholders immediately prior to the Effective Time, based on the Estimated Merger Consideration or the Final Adjusted Merger Consideration, as applicable.

  • Optioned Shares means the shares of Common Stock that are issued pursuant to the exercise of the Options;

  • Total Exercise Price shall have the meaning set forth in Section 4(a) hereof.
