Verizon Underlying Materials Underlying materials owned by Verizon that are incorporated into any Deliverable, such as templates, forms, and methodologies, and that are not themselves specified as part of the Technical Services.
The Contractor is obliged to ensure all necessary surveys, studies (of traffic, noise, lighting conditions, etc.) and to obtain, at its own expense, all documentation necessary for the proper performance of the subject of the work, especially the geodetic survey of the plot and the execution of geodetic drawings of the land; geo-electric and corrosion, geological, hydrogeological, construction-technical and possibly radon survey, map underlying data (the "Underlying Materials").
Incorrectness or incompleteness of the Underlying Materials must not be a reason for limitation or exclusion of the Contractor's liability for defects in the performance provided under the Contract or for liability for damage caused by a breach of the Contract or of the law.
To the extent any Verizon Underlying Materials are incorporated into any Deliverable, Verizon hereby grants to Customer for the Term of the POC Agreement a non- exclusive, royalty-free license to use such Verizon Underlying Materials to use the Service as contemplated in the SOW.
In the event Sky is providing Production Services all references to the Sponsorship Credit in this Agreement shall be deemed to include the Underlying Materials, the Client shall ensure that the Sponsorship Credit (and for the avoidance of doubt the Underlying Materials) is cleared for transmission and/or access by viewers across all Sky Platforms in the manner permitted by Sky from time to time.
The Verizon Underlying Materials shall be subject to the confidentiality obligations in this POC Agreement.
