Underlying Option definition

Underlying Option means, with respect to any Reload Option, the Option to which the Reload Rights were attached and the exercise of which resulted in the grant of the Reload Option.
Underlying Option means an option to purchase Common Shares granted by a Subsidiary, which option is the basis for the Subsidiary's application to the Company for the grant of an Option pursuant to Section 9(c) of this Plan.

Examples of Underlying Option in a sentence

  • In addition to the Option granted hereby (the "Underlying Option"), the Company will grant to the Optionee a reload option (the "Reload Option") if the Optionee acquires shares of Common Stock pursuant to the exercise of the Underlying Option and pays for such shares and/or the tax obligation incurred by reason of the exercise of the Underlying Option (the "withholding taxes") with shares of Common Stock already owned by, or otherwise issuable to, the Optionee (the "Tendered Shares").

  • The date on which the Tendered Shares are tendered to, or withheld by, the Company in full or partial payment of the purchase price and withholding taxes for the shares of Common Stock acquired pursuant to the exercise of the Underlying Option is the Reload Grant Date.

  • This option is granted pursuant to the relevant Underlying Option Agreement.

  • The exercise price of the Restorative Option shall be equal to one hundred percent (100%) of the Fair Market Value of a share of the Common Stock on the date the Underlying Option is exercised.

  • The Restorative Option shall be fully vested beginning six months after the date of its grant and shall expire on the expiration date of the Underlying Option.

  • All other terms of the Restorative Option shall be identical to the terms of the Underlying Option.

  • The Company will issue the Private Placement Units, Private Shares and Private Warrants, when issued, the Warrant Shares, and when and if issued, the Option Units and Underlying Option Securities, purchased by the Subscriber in the name of the Subscriber.

  • During the Option Period ▇▇▇▇▇▇▇ will maintain the Project and the Underlying Option Agreements, in good standing by making (a) all required payments thereunder and (b) filing all necessary assessment work on or in respect of the Project according to the Act.

  • All Subject Options have vested or will be accelerated in vesting in accordance with applicable terms and have not expired and will be exercisable by the applicable Selling Stockholders into the number of Underlying Option Shares identified on Schedule C hereto.

  • The Reload Option may be exercised at any time during the remaining term of the Underlying Option (subject to earlier termination as provided in the Plan or in this Award Agreement).

Related to Underlying Option

  • Related Option means an Option with respect to which a Stock Appreciation Right has been granted.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to Exercise the Option.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Top-Up Option has the meaning set forth in Section 1.04(a).

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.
