Underlying Portfolio means the portfolio Underlying Assets or Unsettled Purchase Assets, as applicable, owned by the Borrower or Committed to be owned by the Borrower from time to time.

Underlying Portfolio means a management “investment company” (as defined in Section 3(a)(1) of the 1940 Act or series of an investment company (as so defined)) that is registered under the 1940 Act whether in the same “group of investment companies” (as defined in Section 12(d)(1)(G)(ii) of the 1000 Xxx) or otherwise (including investment pursuant to Section 12(d)(1)(F) of the 1940 Act), the shares of which are held by the Fund or by a Portfolio of the Fund.
Underlying Portfolio means a portfolio which comprises both senior secured European loans (“CRE Loans”) and senior, second lien and mezzanine loans typically used to fund leveraged buyout transactions (“Leveraged Loans”) that comply with the investment parameters set out in Section I of the Listing Memorandum (each as defined below and together, the "Reference Loans") and any other assets permitted in accordance with the Investment Guidelines described in Section I of the Listing Memorandum.
