Unfavorable FERC Decision has the meaning provided in Section 2.2(a).
Unfavorable FERC Decision has the meaning provided in Section 2.2(a). “United States” or “U.S.” means the United States of America.

This right may be exercised by either Party for any reason, including, for the avoidance of doubt, an Unfavorable FERC Decision, Third Party Rehearing Request, Impasse or other Dispute with respect to the Preliminary Budget and Schedule (or any part thereof) or failure by Owner and Affiliates of Purchaser to execute term sheets for a Construction Contract or the Construction Loan Agreement.
