Unit Purchasers means each of GIP II Hawk Holdings Partnership, L.P. and The Xxxxxxxx Companies, Inc.

If the VWAP cannot be calculated for the LP Units on a particular date on any of the foregoing bases, the VWAP of the LP Units on such date shall be the fair market value as determined in good faith by the General Partner in a commercially reasonable manner.
