If a Licensing Model for a Software Module is not listed on an Purchase Document or in the Module Licensing Description, the Licensing Model shall be deemed to be “Named User.” The Purchase Document will also specify the number of Units Licensed, where applicable.
IP License means all Contractual Obligations (and all related IP Ancillary Rights), whether written or oral, granting any right, title and interest in or relating to any Intellectual Property.
Company Intellectual Property means any Intellectual Property that is owned or purported to be owned by the Company or any of its Subsidiaries.
Registered Intellectual Property Rights means all Intellectual Property Rights that are the subject of an application, certificate, filing, registration, or other document issued by, filed with, or recorded by, any Governmental Authority in any jurisdiction.
Licensed Intellectual Property means Intellectual Property licensed to the Company pursuant to the Company IP Agreements.
