Unsubscribed Units definition

Unsubscribed Units means those shares of New Common Units to be issued in connection with the Offering that are not subscribed for pursuant to the Offering prior to the Subscription Expiration Date.

Unsubscribed Units has the meaning set forth in Section 4.2(e).

• The Transferee hereby agrees (a) to become a party to the Agreement as a Commitment Party and Party and as such will have all the rights and be subject to all of the obligations and agreements of a Commitment Party under the Agreement and (b) to purchase, pursuant and subject to the terms and conditions set forth in the Agreement and the BCA Approval Order, such number of Unsubscribed Units and 4(a)(2) Backstop Commitment Units as corresponds to the Transferee’s Commitment Percentage.

• For the avoidance of doubt, to the extent payable in accordance with the terms of this Agreement, the Commitment Premium will be payable regardless of the amount of Unsubscribed Units (if any) actually purchased.

• None of the Debtors is a party to any Contract with any Person (other than this Agreement) that would give rise to a valid claim against the Commitment Parties for a brokerage commission, finder’s fee or like payment in connection with the Transactions, the sale of the Unsubscribed Units or the sale of the 4(a)(2) Backstop Commitment Units.

More Definitions of Unsubscribed Units

Unsubscribed Units means the number of Common Units for which the holders of rights shall not have subscribed during the Exercise Period.

Unsubscribed Units means the difference between the number of Standby Units and the number of Units sold pursuant to the exercise of the Rights to buy Units by Equity Holders on or before 21 days after the Effective Date.

Unsubscribed Units means the Rights Offering Units that have not been duly purchased in the Rights Offering by Noteholders that are not Commitment Parties in accordance with the Rights Offering Procedures and the Plan.

Unsubscribed Units means any Stock Units not taken up;

Unsubscribed Units means the number of Units determined by subtracting from the Aggregate Rights Units that number of Units issuable pursuant to Rights that are, as at the Rights Expiry Time, exercised by Eligible Holders, including pursuant to the Additional Subscription Privilege;

Unsubscribed Units has the meaning given to such term in the Recitals.
