UQ Shares means the common shares in the capital of UQ;

  • UQ has outstanding: (i) the UQ Options entitling their holders to purchase an aggregate of 900,000 pre-Consolidation UQ Shares at an exercise price of $0.15 per share, expiring on April 3, 2017, and (ii) the UQ Warrants entitling their holders to purchase an aggregate of 6,500,000 pre-Consolidation UQ Shares at an exercise price of $0.15 per UQ Share until March 30, 2017.

  • Other than the UQ Options and the UQ Warrants, there are no outstanding securities of UQ that are convertible, exchangeable or redeemable into UQ Shares.
