Valid and in Force definition

Valid and in Force. All licenses set forth in Schedule 5.20 - Part I are valid and in force and all license applications set forth therein are pending and in good standing, all without challenge of any kind, and the Seller owns the entire right, title and interest in and to the licenses and license applications which it purports to own or control without qualification, limitation, burden or encumbrance of any kind.
Valid and in Force. All patents set forth in Schedule 5.18 - Part I are valid and in force and all patent applications set forth therein are pending and in good standing, all without challenge of any kind, and the Seller owns the entire right, title and interest in and to the patents and patent applications which it purports to own or control without qualification, limitation, burden or encumbrance of any kind.
