Validity Certificate definition

Validity Certificate means each certificate of validity executed by an Employee on the Closing Date in substantially the form of Exhibit B.
Validity Certificate means the validity certificates executed by such officers and directors of the Company as Buyer shall require, in Buyer’s sole discretion, which shall be substantially in the form of Exhibit “B” attached hereto.
