Examples of VAT Group in a sentence
The Servicers shall ensure that (A) the Representative Member timely files all VAT returns and pays all VAT for which it is responsible in respect of the Existing Corpay VAT Group, in each case to the extent material to the UK SPE, except for amounts contested in good faith with adequate reserves; and (B) the VAT Grouping arrangements are operated in compliance with the VAT Grouping Legislation and applicable law.
Notwithstanding anything to the contrary, the UK SPE may be (and remain) a member of the Existing Corpay VAT Group, provided that the UK SPE shall not be, and shall not become, the Representative Member.
The Servicers shall ensure that participation by the UK SPE in the Existing Corpay VAT Group does not have a Material Adverse Effect.
The UK SPE is registered for VAT and a member of the Existing Corpay VAT Group or will become so as soon as reasonably practicable after the date of this Agreement.
The UK SPE is either (A) registered for VAT and a member of the Existing Corpay VAT Group, or (B) has submitted all applications and notifications required to become registered for VAT and to be admitted to the Existing Corpay VAT Group and will become so as soon as reasonably practicable after the date hereof.
