Vendor Assurance definition

Vendor Assurance means any indemnity, guarantee or commitment of any nature given by the Vendor to the Company or a Subsidiary or to any other person to the extent it relates to the Company or a Subsidiary but excluding in each case any such obligation which is contained in a Transaction Document or any document entered into pursuant thereto, and any such obligation which is in the ordinary and normal course of trade between the Company and the Vendor or any Member of the Vendor’s Group
