Vendor Proprietary Information definition

Vendor Proprietary Information means all software, solutions, services and API keys of MX Vendor to which Participant gains access by being a Party.
Vendor Proprietary Information means Proprietary Information of the Vendor and shall include all modifications, enhancements and other derivative works of such Vendor Proprietary Information;
Vendor Proprietary Information shall have the meaning set forth in Section 11.3 (Background Technology, Third Party Technology and Vendor Proprietary Information).

Examples of Vendor Proprietary Information in a sentence

  • In the case of Vendor, Confidential Information shall include the Vendor Proprietary Information, information concerning the operations, affairs, products, marketing, systems, technology, customers, end-users, and businesses, including financial affairs, of Vendor, Vendor’s fees, rates, proposals, and other Vendor information designated in writing by Vendor as Confidential Information.

  • All such Vendor Proprietary Information shall be marked by Vendor as “confidential” or “proprietary,” or, if disclosed orally or in other intangible form, shall be summarized by Vendor in writing within fifteen (15) days after such disclosure.

  • If Vendor fails to obtain such authorization or give such notice, Vendor agrees that it shall make no claim against Customer with respect to any such Vendor Proprietary Information.

  • In the course of performance hereunder, Best Buy will use or be furnished with proprietary information, materials, tools and methodologies known as "Vendor Proprietary Information," which will be identified by Vendor prior to being delivered to Best Buy.

  • In the case of Vendor, Confidential Information shall include the Vendor Proprietary Information and other Vendor information designated in writing by Vendor as Confidential Information.

  • Vendor Proprietary Information means confidential or privileged information originated by Vendor and relating to the subject matter of this Service Agreement, whether furnished to Best Buy before or after the Effective Date, including but not limited to Ribbon Technology, which is not generally available to others.

  • Except as necessary to perform under the terms of this Service Agreement, Best Buy will not disclose, publish, reproduce, or make use of any Vendor Proprietary Information without the express written consent of Vendor.

  • Vendor shall notify Customer in writing before Vendor uses or incorporates, or makes any disclosure to or performs any work on behalf of Customer that appears to conflict with proprietary rights which Vendor or any third party claims in, any Background Technology, Third Party Technology or Vendor Proprietary Information.

  • METRO undertakes for itself as well as its employees, agents and contractors, to keep all Vendor Proprietary Information as well as the terms and conditions of this Agreement in strict confidence and to refrain from using same, without the Vendor's prior written consent, except for purposes of performing its obligations under this Agreement.

  • Furthermore, METRO shall disclose Vendor Proprietary Information only to those who have been informed of its confidential nature by METRO itself and have agreed to be bound by the confidentiality terms and conditions of this Agreement.
