Vendor Tools means the Vendor Development, Deployment, and Server software in object code format only (including, without limitation, any run-time modules, development kits, and rapid application development tools) and related documentation as described in the Statement of Work.

Vendor Tools means the SBISS information sharing and analysis software available to the member agencies.

Vendor Tools means any tools, both in object code and source code form, which Vendor has already developed or which Vendor independently develops or licenses from a third party, excluding any tools which Vendor creates pursuant to the Website Terms. By way of example, Vendor Tools may include, without limitation, toolbars for maneuvering between pages, search engines, Java applets, and ActiveX controls.

• In the event, and to the extent that the Work Product contains any software or other items or elements which may be proprietary to Vendor or a third party, Vendor hereby grants Prudential, its agents and consultants, an irrevocable, worldwide, royalty free, nonexclusive license to use, execute, display, and distribute copies of the Vendor Tools and/or any Vendor or third party software, items or elements which may be contained in the Work Product, for Prudential's internal use only.

• In the event that the Vendor cannot, after using its best efforts to do so within a reasonable period of time, so procure, modify or replace the Work Product or Vendor Tools, the Vendor shall terminate the applicable Work Order with respect to the Services and Work Product involved and promptly refund to Fidelity the Fee for the Services and Work Product involved.

• Vendor agrees that the Vendor Tools will not contain nor be derivative of any Company content, materials or confidential information.

• Absent such consent and agreement, the first paragraph of this Section 6 will apply to such Deliverable and the Vendor Tools.

• To the extent that any Deliverable incorporates any Vendor Tools, such tools shall be listed in the applicable Work Order.

• On the first day of every month, and at any other time as reasonably requested by Client, Vendor at its expense shall deliver to Client a complete electronic copy of the Website (including all Vendor Tools).

Vendor Tools shall not include Vendor Machines or Vendor Software. Each Work Order shall set forth Vendor Tools used in connection with the Services and Deliverables applicable to such Work Order.

Vendor Tools means the Vendor Proprietary Tools and Vendor Third Party Tools.

Vendor Tools means, collectively, certain existing knowledge, techniques, procedures, routines and methods used in the creation of software and certain functionality thereof that have been developed by Vendor or a Subcontractor in its regular course of business and in any event that do not constitute Work Product; The term "Vendor Tools" shall not include Vendor Machines or Vendor Software. Each Work Order shall set forth Vendor Tools used in connection with the Services and Deliverables applicable to such Work Order.
