Vendor Works definition

Vendor Works means (a) Works developed or otherwise obtained by or for Vendor independently of this Agreement, including all Works and Intellectual Property Rights owned by Vendor as of the Effective Date of the Agreement; and (b) Vendor Communications.
Vendor Works means tangible and intangible information and material that:
Vendor Works means tangible and intangible information and material that: (a) had already been conceived, invented, created, developed or acquired by Vendor prior to the Effective Date; or (b) were conceived, invented, created, developed or acquired (but excluding Third Party Works approved for Vendor’s use in the Services by the Client) by Vendor after the Effective Date, but only to the extent such information and material do not constitute Work Product hereunder. A Vendor Work includes all intermediate and partial versions thereof, including all source code and object code with respect thereto, and all designs, specifications, inventions, discoveries, know-how, improvements, materials, program materials, software, flow charts, notes, outlines, lists, compilations, manuscripts, writings, pictorial materials, schematics, other creations, and the like, whether or not patented or patentable or otherwise protectable by law. Vendor Works excludes Vendor Software.

  • Vendor, its Subcontractors, and other third party vendors retain all their respective rights in proprietary Vendor Works, Third Party Works, Software, and their other tools.

Related to Vendor Works

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Supplier means the successful bidder who is awarded the contract to maintain and administer the required and specified service(s) to the State.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Custom Materials means Materials developed by the Supplier at the Procuring Entity's expense under the Contract and identified as such in Appendix 5 of the Contract Agreement and such other Materials as the parties may agree in writing to be Custom Materials. Custom Materials includes Materials created from Standard Materials.
