  • In addition, such Content and related Course Segments shall be refreshed and updated by IOME on a regular basis, at no additional charge to the Vensure Group.

  • Vensure and the Vensure Stockholders have duly executed and delivered the Investment Agreement.

  • The Vensure Stockholders individually has the power and authority, and Vensure has the corporate power to enter into this Agreement and to perform its obligations hereunder, including the issuance of the Series A Preferred Stock.

  • The execution and performance of this Agreement will not violate or conflict with any provision of the respective Certificate of Incorporation or by-laws of Vensure.
