Vested Unit definition

Vested Unit means a Class B Unit that constitutes a “Vested Unit” under the Class B Restricted Unit Agreement pursuant to which such Class B Unit was issued.

Vested Unit means any Units that have vested as of the date of determination pursuant to the terms of the applicable Incentive Unit Award Agreement.

Vested Unit means a Unit credited to a Participant pursuant to Section 5 that has become vested in accordance with the provisions of Section 6.

Examples of Vested Unit in a sentence

• If a cash payment is made in lieu of delivering shares of Common Stock, the amount of such payment shall be equal to the Fair Market Value of the Common Stock as of the date on which the Restricted Period lapsed in the case of Restricted Stock Units, or the delivery date in the case of Deferred Stock Units, with respect to each Vested Unit.

• For purposes of this Article V, each Unvested Unit shall be treated as a Vested Unit.

• If a cash payment is made in lieu of delivering shares of Common Stock, the amount of such payment shall be equal to the Fair Market Value of the Common Stock as of the date on which the Restricted Period lapsed with respect to each Vested Unit.

• Subject to the provisions of Section 6.3, the Company shall issue to the Participant on the Settlement Date with respect to each Vested Unit to be settled on such date one (1) share of Stock.

• If a cash payment is made in lieu of delivering shares of Stock, the amount of such payment shall be equal to the Fair Market Value of the Stock as of the date on which the Restricted Period lapsed with respect to such Vested Unit.

More Definitions of Vested Unit

Vested Unit means a Unit that has vested in accordance with Section 3 and ceased to be subject to the Company Reacquisition Right described in Section 4.1.

Vested Unit means a Unit that was Transferred to Transferee pursuant to this Agreement which is no longer subject to forfeiture pursuant to Section 4 at the time in question.

Vested Unit means (i) an Earned Unit that is no longer subject to the Partnership’s Call Option or (ii) an Earned Unit or a Restricted Unit that becomes a “Vested Unit” pursuant to Section 2.2(c), subject to the proviso to Section 2.2(a).

Vested Unit means a Restricted Share Unit which has vested in accordance with the terms and conditions of the Plan;

Vested Unit means any Management Unit that has become vested pursuant to Section 3.2(e).

Vested Unit has the meaning set forth in the OCGH Partnership Agreement.

Vested Unit means any Management Vehicle Unit (and corresponding Class P Unit) for which the applicable vesting conditions and transfer restrictions, as applicable, have been satisfied pursuant to the applicable Management Award Agreement.
