Viral Stock means 75,000,000 common shares of Viral, no par value, which are all of the issued and outstanding shares of the capital stock of Viral.

Newco Stock means the common stock, par value $.01 per share, of NEWCO.
Ordinary Shares shall have the meaning given in the Recitals hereto.
Company Capital Stock means the Company Common Stock and the Company Preferred Stock.
Common Shares means the common shares in the capital of the Corporation;
Capital Stock of any Person means any and all shares, interests, rights to purchase, warrants, options, participations or other equivalents of or interests in (however designated) equity of such Person, but excluding any debt securities convertible into such equity.
