Volume Condition definition

Volume Condition means, with respect to a particular date of determination, the aggregate daily dollar composite trading volume (as reported on Bloomberg) of the Common Stock on the Principal Market on each Trading Day during the previous fifteen (15) Trading Days is at least $2.0 million.
Volume Condition means, with respect to a particular date of determination, the aggregate daily dollar composite trading volume (as reported on Bloomberg) of the Common Stock on the Principal Market during the previous twenty (20) Trading Days is at least $500,000 dollar value.
Volume Condition means the condition, which shall only be waived with the consent of the Holders of all the outstanding Securities, that the aggregate amount of the Installment Conversions on the applicable Installment Date shall not result in the issuance by the Company as a result of such Installment Conversions of an aggregate number of shares of Common Stock that would exceed the Volume Amount.

Related to Volume Condition

  • Unsafe condition as used in this clause means the actual or potential exposure of contractor or Government employees to a hazardous material as defined in Federal Standard No. 313, and any revisions thereto during the term of this contract, or any other material or working condition designated by the Contracting Officer's Technical Representative (COTR) as potentially hazardous and requiring safety controls.

  • VWAP Purchase Share Volume Maximum means a number of shares of Common Stock traded on the Principal Market during normal trading hours on the VWAP Purchase Date equal to: (i) the VWAP Purchase Share Estimate, divided by (ii) the VWAP Purchase Share Percentage (to be appropriately adjusted for any reorganization, recapitalization, non-cash dividend, stock split, reverse stock split or other similar transaction).

  • Release Conditions mean the following conditions: (i) Company has received the Executive’s executed Release and (ii) any rescission period applicable to the Executive’s executed Release has expired.
