Volume True-Up definition

Volume True-Up means the compensation to which the Manufacturer shall be entitled if the Purchaser purchases less than the Minimum Quantities (except as a consequence of an act or omission of the Manufacturer or Force Majeure) and to which the Purchaser shall be entitled if it purchases more than the Minimum Quantities as stated in Exhibit A, as adjusted from time to time in accordance with this Agreement.

Examples of Volume True-Up in a sentence

  • The per gallon sale price Husker shall receive for the Ethanol sold to ARE under this Agreement shall be based on the Alliance Net Pool Price, as defined below, which shall be adjusted to reflect the Pooled Volume Adjustment and/or Pooled Volume True-Up, as applicable.

  • The Parties acknowledge that the Guaranteed Capacities, the Volume True-Up, and Manufactured Cost Per Unit are based, in part, on the Specifications and the efficiency of the manufacturing processes as of the Effective Date.
