Voluntary Exercise definition

Voluntary Exercise means the voluntary exercise by a holder of the Equity Commitment Document described in clause (b) of such definition pursuant to the terms thereof during the Equity Commitment Period.
Voluntary Exercise means any exercise of the Issuance Right that is not an Automatic Exercise or a Mandatory Exercise.
Voluntary Exercise is defined as any exercise which is not forced.

  • If such Voluntary Exercise Notice is subsequently corrected to the satisfaction of the Calculation Agent, it shall be deemed to be a new Voluntary Exercise Notice submitted at the same time such corrected notice is delivered to the Calculation Agent.

  • The minimum number of Warrants specified in the Voluntary Exercise Notice must be equal to one Unit, otherwise the Voluntary Exercise Notice shall not be valid.

  • Any delivery of Notes by the Company to the Trust as contemplated by the Facility Agreement upon any exercise of the Issuance Right (including any Voluntary Exercise, Automatic Exercise or Mandatory Exercise) will be effected by increasing the principal amount of the Initial Note Certificate and recording such increase in the Schedule of Increases and Decreases attached to the Initial Note Certificate and the Security Register.

  • The number of Warrants specified in the Voluntary Exercise Notice must be a multiple of a Unit otherwise such number of Warrants so specified shall be rounded down to the preceding multiple of Unit and the Voluntary Exercise Notice shall not be valid in respect of the Warrants exceeding such rounded number of Warrants.

  • Subject as set out above, delivery of a Voluntary Exercise Notice shall constitute an irrevocably election by the relevant Holder to exercise the Warrants specified.

  • In the event that a Holder does not perform its obligations and so deliver, where applicable, a duly completed Voluntary Exercise Notice in accordance with the provisions hereof, the Voluntary Exercise Notice shall be null and void and the Warrants shall be deemed to be repaid, the Issuer's obligations in respect of such Warrants shall be discharged and no further liability in respect thereof shall attach to the Issuer.

  • The Warrants specified in the Voluntary Exercise Notice shall be deemed to be validly exercised on the Actual Exercise Date or on the Expiration Date, as the case may be, only if, prior to 5.00 p.m. (Milan time) of that Actual Exercise Date or Expiration Date, the Warrants specified in the Voluntary Exercise Notice shall have been credited to the account of the Paying Agent in Euroclear France held in Euroclear France (the account details of which are set out in the form of Voluntary Exercise Notice).

  • In the event of a Voluntary Exercise of the rights represented by the Unit Compensation Options, a certificate or certificates for the Unit Compensation Warrants so acquired, registered in the name of the Holder hereof, shall be delivered to the Holder hereof within a reasonable time, not exceeding five Business Days, after the rights represented by the Unit Compensation Options shall have been so exercised.


More Definitions of Voluntary Exercise

Voluntary Exercise means any exercise of the Issuance Right that is not (i) an Automatic Exercise, (ii) a Mandatory Exercise or (iii) a Designation Issuance Exercise.
Voluntary Exercise has the meaning set forth in the Facility Agreement.

Related to Voluntary Exercise

  • Exercise Right means the Exercise Right as specified in § 3 (1) of the Special Conditions.

  • Automatic Exercise Applicable; and means that for each Expiration Date, a number of Warrants equal to the Daily Number of Warrants for such Expiration Date will be deemed to be automatically exercised at the Expiration Time on such Expiration Date.

  • Cash Exercise with respect to Warrant Shares; and/or

  • Exercise means a Holder’s right to exercise the Securities, in accordance with Product Condition 3;

  • Net Exercise means a Net Exercise as defined in Section 6.3(b)(iii).

  • Repurchase Right means the right granted to the Corporation in accordance with Article D.

  • Exercise Event shall have the meaning ascribed to such term in Section 2(c).

  • 'Survivor's Option means, where applicable, the right of a holder of a Note to require the Company to repay such Note prior to its Stated Maturity upon the death of the owner of such Note, subject to the provisions hereof relating to such option."

  • Voluntary Prepayment means a prepayment of principal of Term Loans pursuant to Section 2.05(a) in any year to the extent that such prepayment reduces the scheduled installments of principal due in respect of Term Loans as set forth in Section 2.07 in any subsequent year.

  • Exercise Any Secured Creditor Remedies or “Exercise of Secured Creditor Remedies” shall mean:

  • Termination due to Disability means a termination of the Executive’s employment by the Company because the Executive has been incapable, after reasonable accommodation, of substantially fulfilling the positions, duties, responsibilities and obligations set forth in this Agreement because of physical, mental or emotional incapacity resulting from injury, sickness or disease for a period of (A) six (6) consecutive months or (B) an aggregate of nine (9) months (whether or not consecutive) in any twelve (12) month period. Any question as to the existence, extent or potentiality of the Executive’s disability shall be determined by a qualified physician selected by the Company with the consent of the Executive, which consent shall not be unreasonably withheld. The Executive or the Executive’s legal representatives or any adult member of the Executive’s immediate family shall have the right to present to such physician such information and arguments as to the Executive’s disability as he, she or they deem appropriate, including the opinion of the Executive’s personal physician.

  • Voluntary Refunds means a refund of an unused or partially used ticket for reasons other than those mentioned under the definition of an involuntary refund.

  • Termination of Service means:

  • Stock Tender Exercise means a Stock Tender Exercise as defined in Section 6.3(b)(ii).

  • Option means a stock option granted pursuant to the Plan.

  • Voluntary Termination for Good Reason means the Employee voluntarily resigns after the occurrence of any of the following (i) without the Employee’s express written consent, a material reduction of the Employee’s duties, title, authority or responsibilities, relative to the Employee’s duties, title, authority or responsibilities as in effect immediately prior to such reduction, or the assignment to Employee of such reduced duties, title, authority or responsibilities; provided, however, that a reduction in duties, title, authority or responsibilities solely by virtue of the Company being acquired and made part of a larger entity (as, for example, when the Senior Vice-President of a business unit of the Company remains as such following a Change of Control) shall not by itself constitute grounds for a “Voluntary Termination for Good Reason;” (ii) without the Employee’s express written consent, a material reduction, without good business reasons, of the facilities and perquisites (including office space and location) available to the Employee immediately prior to such reduction; (iii) a reduction by the Company in the base salary of the Employee as in effect immediately prior to such reduction; (iv) a material reduction by the Company in the aggregate level of employee benefits, including bonuses, to which the Employee was entitled immediately prior to such reduction with the result that the Employee’s aggregate benefits package is materially reduced (other than a reduction that generally applies to Company employees); (v) the relocation of the Employee to a facility or a location more than thirty-five (35) miles from the Employee’s then present location, without the Employee’s express written consent; (vi) the failure of the Company to obtain the assumption of this agreement by any successors contemplated in Section 7(a) below; or (vii) any act or set of facts or circumstances which would, under California case law or statute constitute a constructive termination of the Employee.

  • New Exercise Date means a new Exercise Date if the Administrator shortens any Offering Period then in progress.

  • Repurchase Period means a period of 90 consecutive days commencing on the date when the Optionee’s Service terminates for any reason, including (without limitation) death or disability.

  • Minimum Exercise Amount means the Minimum Exercise Amount as specified in § 1 of the Product and Underlying Data.

  • Exercise of Secured Creditor Remedies means, except as otherwise provided in the final sentence of this definition:

  • Voluntary Transfer is a transfer from one assignment to another within the jurisdiction of The Peel District School Board, initiated by the Teacher as per this Article.

  • Automatic Exercise Date means, with respect to an Option or a Stock Appreciation Right, the last business day of the applicable Option Term or Stock Appreciation Right Term that was initially established by the Administrator for such Option or Stock Appreciation Right (e.g., the last business day prior to the tenth anniversary of the date of grant of such Option or Stock Appreciation Right if the Option or Stock Appreciation Right initially had a ten-year Option Term or Stock Appreciation Right Term, as applicable).

  • Election to Exercise shall have the meaning attributed thereto in Subsection 2.2(d).
