Voluntary Exercise definition

Voluntary Exercise means any exercise of the Issuance Right that is not (i) an Automatic Exercise, (ii) a Mandatory Exercise or (iii) a Designation Issuance Exercise.
Voluntary Exercise means the voluntary exercise by a holder of the Equity Commitment Document described in clause (b) of such definition pursuant to the terms thereof during the Equity Commitment Period.
Voluntary Exercise has the meaning set forth in the Facility Agreement.

  • Any delivery of Notes by the Company to the Trust as contemplated by the Facility Agreement upon any exercise of the Issuance Right (including any Voluntary Exercise, Automatic Exercise or Mandatory Exercise) will be effected by increasing the principal amount of the Initial Note Certificate and recording such increase in the Schedule of Increases and Decreases attached to the Initial Note Certificate and the Security Register.

  • In the event of a Voluntary Exercise of the rights represented by this Special Warrant, a certificate or certificates for the Flow-Through Shares so acquired, registered in the name of the Holder hereof, shall be delivered to the Holder hereof within a reasonable time, not exceeding five Business Days, after the rights represented by this Special Warrant shall have been so exercised.

  • The Company will, within three (3) business days of the date of conversion or deemed conversion of the Special Warrants, make available for pick-up or, at the request of the Holder, mail to the Holder thereof certificates for the Underlying Shares issued on such conversion at the address specified in the Voluntary Exercise Form.

  • Subject to the restrictions in Sections 1(g), 1(h) and 1(i), the Special Warrants may be voluntarily exercised by their holder at any time prior to their deemed exercise by delivery of a Voluntary Exercise Form attached hereto as Appendix “A” to the Company.

Related to Voluntary Exercise

  • Exercise Right means the Exercise Right as specified in § 3 (1) of the Special Conditions.

  • Automatic Exercise Applicable; and means that for each Expiration Date, a number of Warrants equal to the Daily Number of Warrants for such Expiration Date will be deemed to be automatically exercised at the Expiration Time on such Expiration Date.

  • Cash Exercise with respect to Warrant Shares; and/or

  • Exercise means a Holder’s right to exercise the Securities, in accordance with Product Condition 3;

  • Net Exercise means a Net Exercise as defined in Section 6.3(b)(iii).

  • Repurchase Right means the right granted to the Corporation in accordance with Article D.

  • Exercise Event shall have the meaning ascribed to such term in Section 2(c).

  • 'Survivor's Option means, where applicable, the right of a holder of a Note to require the Company to repay such Note prior to its Stated Maturity upon the death of the owner of such Note, subject to the provisions hereof relating to such option."

  • Demand Exercise Notice has the meaning set forth in Section 2.1(a).

  • Exercise Any Secured Creditor Remedies or “Exercise of Secured Creditor Remedies” shall mean, except as otherwise provided in the final sentence of this definition:

  • Termination Right have the respective meanings given in the PRA Contractual Stay Rules.

  • Termination due to Disability means a termination of the Executive’s employment by the Company because the Executive has been incapable, after reasonable accommodation, of substantially fulfilling the positions, duties, responsibilities and obligations set forth in this Agreement because of physical, mental or emotional incapacity resulting from injury, sickness or disease for a period of (A) six (6) consecutive months or (B) an aggregate of nine (9) months (whether or not consecutive) in any twelve (12) month period. Any question as to the existence, extent or potentiality of the Executive’s disability shall be determined by a qualified physician selected by the Company with the consent of the Executive, which consent shall not be unreasonably withheld. The Executive or the Executive’s legal representatives or any adult member of the Executive’s immediate family shall have the right to present to such physician such information and arguments as to the Executive’s disability as he, she or they deem appropriate, including the opinion of the Executive’s personal physician.

  • Termination of Service means:

  • Stock Tender Exercise means a Stock Tender Exercise as defined in Section 6.3(b)(ii).

  • Option means a stock option granted pursuant to the Plan.

  • Voluntary Termination for Good Reason means that the Executive voluntarily terminates his employment after any of the following are undertaken without Executive’s express written consent:

  • New Exercise Date means a new Exercise Date if the Administrator shortens any Offering Period then in progress.

  • Repurchase Period means a period of 90 consecutive days commencing on the date when the Optionee’s Service terminates for any reason, including (without limitation) death or disability.

  • Minimum Exercise Amount means the Minimum Exercise Amount as specified in § 1 of the Product and Underlying Data.

  • Exercise of Secured Creditor Remedies means, except as otherwise provided in the final sentence of this definition:

  • Voluntary Transfer A Voluntary transfer to a higher or lower pay grade will be effective on the date of transfer. A voluntary transfer within the same pay grade will not receive a salary adjustment.

  • Automatic Exercise Date means, with respect to an Option or a Stock Appreciation Right, the last business day of the applicable Option Term or Stock Appreciation Right Term that was initially established by the Administrator for such Option or Stock Appreciation Right (e.g., the last business day prior to the tenth anniversary of the date of grant of such Option or Stock Appreciation Right if the Option or Stock Appreciation Right initially had a ten-year Option Term or Stock Appreciation Right Term, as applicable).

  • Election to Exercise shall have the meaning attributed thereto in Subsection 2.2(d).

  • Voluntary Termination means the termination by Executive of Executive's employment following a Change in Control which is not the result of any of clauses (i) through (v) set forth in the definition of Involuntary Termination above.
