Voluntary Redemption Amount definition

Voluntary Redemption Amount means (i) the principal amount of the Bonds or, if higher (ii) the sum, as determined by the Calculation Agent, of the present values of the Remaining Intended Payments at the Voluntary Redemption Date (not including any portion of such payments of interest accrued to the Voluntary Redemption Date) on an annual basis (counting the exact number of days elapsed divided by 365 or 366 in a leap year) discounted at the Voluntary Redemption Rate.
Voluntary Redemption Amount has the meaning given to such term in Section 4.5.
Voluntary Redemption Amount means an amount equal to the aggregate of (i) the outstanding Nominal Value; (ii) the Make Whole Amount; (iii) the Debenture Premium; (iv) Redemption Premium (if the Debentures are being redeemed in full); and (v) and all other costs, expenses, and indemnified amounts due and payable by the Company in relation to Debentures under the Debenture Documents.”

  • All voluntary redemptions under this Condition 7.2 must be made with the Voluntary Redemption Amount.
