VPC Agreement means any bulk or flow purchase Voluntary Partial Cancellation of Servicing Contract Rights Agreement by and between Xxxxxxx Mac and the Borrower presently in effect or executed in the future, whereby the Borrower relinquishes Xxxxxxx Mac MSRs to Xxxxxxx Mac, as amended, modified, restated or supplemented from time to time.

  • Lender shall have no obligation to release its interest in any Pledged Servicing Rights until all amounts required to be paid pursuant to Section 4.05 have been paid, except as determined by Freddie Mac pursuant to a Freddie Mac VPC Agreement.

  • The Company shall pay Key Employee an Incentive Bonus in the amount set forth below so long as the Key Employee remains employed with the Company or its Affiliate on the Incentive Bonus Date and, on or before the Incentive Bonus Date, the Company or its Affiliate has operated within the agreed upon budget under the VPC Agreement, and meets at least a satisfactory individual rating in accordance with our Company’s performance management plan.

  • The parties acknowledge that Euroclear Sweden will, in accordance with the Swedish Financial Instruments Accounts Act, maintain records of all SDRs transferred, deposited, surrendered and SDRs cancelled pursuant to this Custodian Agreement in accordance with the provisions of the VPC Agreement.

  • Notwithstanding the foregoing, if the Borrower is required by Freddie Mac to enter into a Freddie Mac VPC Agreement with respect to Freddie Mac Mortgage Loans that have Delinquencies (as such term is defined in the Fxxxxxx Mac Guide) of ninety (90) days or greater, then the provisions of this Section 3.9 shall not prohibit the Borrower from entering into such Freddie Mac VPC Agreement.
