Warrant Distribution definition

Warrant Distribution has the meaning set forth in Section 1.12.
Warrant Distribution means that certain distribution (in whatever form effected) to holders of Common Stock of warrants to purchase up to an aggregate of 30,000,000 shares of Common Stock at an exercise price of $0.523 per share, which distribution may be made in a series of one or more transactions in accordance with applicable law.
Warrant Distribution means on February 8, 2017, ADI shareholders received Warrants having a five-year term and a strike price of $0.333 per share

  • Agent’s commission, if any, determined as provided in the Warrant Distribution Agreement.

  • Final Distribution means any distribution made in redemption of all or a portion of the Up-MACRO Tradeable Shares pursuant to Section 5.2(b) on the earlier of the Final Scheduled Termination Date or an Early Termination Date.

  • Capital Distribution means a payment made, liability incurred or other consideration given by a Company to any Person that is not a Company, (a) for the purchase, acquisition, redemption, repurchase, payment or retirement of any capital stock or other equity interest of such Company, or (b) as a dividend, return of capital or other distribution (other than any stock dividend, stock split or other equity distribution payable only in capital stock or other equity of such Company) in respect of such Company’s capital stock or other equity interest.

  • Warrant Price as used in this Agreement shall mean the price per share at which shares of Common Stock may be purchased at the time a Warrant is exercised. The Company in its sole discretion may lower the Warrant Price at any time prior to the Expiration Date (as defined below) for a period of not less than twenty (20) Business Days, provided, that the Company shall provide at least twenty (20) days prior written notice of such reduction to Registered Holders of the Warrants and, provided further that any such reduction shall be identical among all of the Warrants.

  • Special Distribution has the meaning set forth in Section 11.4.

  • Common Warrant Shares means the shares of Common Stock issuable upon exercise of the Common Warrants.

  • Preferred Share means a share of stock of the General Partner of any class or series now or hereafter authorized or reclassified that has dividend rights, or rights upon liquidation, winding up and dissolution, that are superior or prior to the REIT Shares.

  • Series A Distribution Rate means a rate equal to 7.25% per annum of the Stated Series A Liquidation Preference per Series A Preferred Unit.

  • Quarterly Distribution means with respect to each Distribution Date, the distribution to be made to the Holders of the Up-MACRO Holding Shares that are Outstanding on the Distribution Date pursuant to priority sixth of Section 5.2(a), which shall consist of the cash on deposit in the Up-MACRO Holding Trust after it makes or receives a payment under the Income Distribution Agreement and makes all other payments or investments in Eligible Treasuries that it is required to make pursuant to such Section 5.2(a).
