Warrant Put definition

Warrant Put means those provisions in Section 9 of the Warrants, as in effect on the Issue Date.

Examples of Warrant Put in a sentence

  • The purchase price under this Section 13 shall be determined by multiplying (x) the Repurchase Price as of the date of such Warrant Put Notice less the Purchase Price in effect on the date of such Warrant Put Notice, by (y) the number of Issuable Warrant Shares specified in such Warrant Put Notice.

  • The Warrant Put Notice shall specify the date on which such repurchase shall occur, which date shall not be less than thirty (30) days nor more than sixty (60) days after the date of the Warrant Put Notice (the “Warrant Put Closing Date”).

  • Except as provided below in this Section 16 and in Section 15(c), on the Issued Warrant Put Closing Date, the Holder shall surrender the Issued Warrant Shares to be repurchased, against payment of the Warrant Repurchase Price by wire transfer to an account designated by the Holder.

  • This Agreement, together with the Warrant and Warrant Put Agreement represent the entire agreement of the parties hereto with respect to the subject matter hereof, and supersedes all prior oral or written agreements, negotiations, understandings or arrangements related to the subject matter hereof.

  • Subject to the terms of Section 8 of the Purchase Agreement, the Warrants shall be purchased in whole or in part, at the election of the Holder, upon the occurrence of a Warrant Put Event, as set forth in Section 8 of the Purchase Agreement, at the Warrant Purchase Price determined pursuant to and in accordance with the procedures set forth in Section 8 of the Purchase Agreement.

  • In the case of proper election by Willey of the Registration Option, no surrender of Warrant Shares or Issued Warrant Shares shall take place on the Put Closing Date or Issued Warrant Put Closing Date.

  • Lender covenants and agrees to execute a subordination agreement or any other documentation reasonably requested by any of the foregoing lenders (“Senior Lenders”) to document the subordinate status of the Warrant Put Obligations and the security interest created under this Agreement.

  • In the case of proper election by ▇▇▇▇▇▇ of the Registration Option, no surrender of Warrant Shares or Issued Warrant Shares shall take place on the Put Closing Date or Issued Warrant Put Closing Date.

  • In order to assure the Fund of the economic benefit of (a) its ownership of the Warrant Shares, (b) its rights under the Warrant Put Agreement and (c) its rights under this Agreement, MCAF will not, nor permit any of its subsidiaries (including subsidiaries of any subsidiary), or other entities included in MCAF's financial statements as of the date hereof, or included at any time hereafter (collectively the "Subsidiaries"), to take or participate in any Prohibited Transaction.

  • The proceeds of Incremental Term Loans made from time to time will be used solely to effect the Mezzanine Note Redemption (to the extent not completed during the Delayed Draw Availability Period), to finance Permitted Acquisitions and to effect the payment and satisfaction of the Mezzanine Warrant Put Right, if it is exercised, or for any other lawful purpose set forth in the applicable Incremental Term Loan Assumption Agreement.

Related to Warrant Put

  • Warrant Purchase Price shall have the meaning ascribed to such term in Section 2.1(b).

  • Warrant Price as used in this Agreement shall mean the price per share at which shares of Common Stock may be purchased at the time a Warrant is exercised. The Company in its sole discretion may lower the Warrant Price at any time prior to the Expiration Date (as defined below) for a period of not less than twenty (20) Business Days, provided, that the Company shall provide at least twenty (20) days prior written notice of such reduction to Registered Holders of the Warrants and, provided further that any such reduction shall be identical among all of the Warrants.

  • Warrant Purchase Agreement means a warrant purchase agreement under which a Warrant is issued entered into by Borrower and an Affiliate of Lenders contemporaneously with the execution of this Loan Agreement.

  • Warrant Shares means the shares of Common Stock issuable upon exercise of the Warrants.

  • Warrant Stock means Common Stock issuable upon exercise of any Warrant or Warrants or otherwise issuable pursuant to any Warrant or Warrants.
