Weekly Volume definition

Weekly Volume means the trading volume in U.S. dollars of the Ordinary Shares on the Trading Market for a given five consecutive Trading Day period (as reported by Bloomberg, LP for such five consecutive Trading Days).
Weekly Volume means the volume of shares of Pershing’s Common Stock bought or sold on the Trading Market (as defined below) as reported by Bloomberg Financial L.P. (based on a Trading Day (as defined below) from 9:30 a.m. Eastern Time to 4:02 p.m. Eastern Time) during the preceding week. “Weekly Price” means the average closing price of Pershing’s Common Stock for each Trading Day of the prior week on the Trading Market as reported by Bloomberg Financial L.P. (based on a Trading Day from 9:30 a.m. Eastern Time to 4:02 p.m. Eastern Time). The restrictions set forth in this Section 10 may be waived by Pershing in its discretion (provided that (i) they are waived equivalently with respect to each Assignee and (ii) the volume restrictions on the Assignors, FGIT and Bxxxxxx set forth in Section 1.4 hereof are equivalently waived) and shall not apply at any time when Pershing’s Common Stock is not quoted or admitted for trading on a Trading Market. “Trading Day” means (a) a day on which the Common Stock is traded on the OTC Bulletin Board or a registered national securities exchange, or (b) if the Common Stock is not traded on the OTC Bulletin Board or a registered national securities exchange, a day on which the Common Stock is quoted in the over-the-counter market as reported by the National Quotation Bureau Incorporated (or any similar organization or agency succeeding its functions of reporting prices); provided, however, that in the event that the Common Stock is not listed or quoted as set forth in (a) or (b) hereof, then Trading Day shall mean any day except Saturday, Sunday and any day which shall be a legal holiday or a day on which banking institutions in the State of New York are authorized or required by law or other government action to close. “Trading Market” means the following markets or exchanges on which the Common Stock is listed or quoted for trading on the date in question: the Nasdaq Capital Market, the NYSE Amex, the New York Stock Exchange, the Nasdaq National Market, or the OTC Bulletin Board.
Weekly Volume means 500,000 shares of the Company’s Common Stock per week, as adjusted equitably for any stock splits, stock dividends or recapitalizations completed by the Company. Section 2(b) of the RRLA is hereby deleted, and the following substituted in its place: “The Holder hereby agrees that, except as set forth in Section 2(d) below, for a period of four (4) years from the end of the Initial Lock-Up Period until the Expiration Date, without the prior written consent of the Company, the Holder will not Dispose of more than the Weekly Volume of Shares in any seven-day period (the “Volume Limitation” and together with the Initial Lock-Up, the “Lock-Up”).

  • Monthly Volume means the product of the Committed Volume multiplied by the number of days in the relevant month.
