The WHOA Plan shall, at a minimum, contain provisions discharging and/or releasing the Prepetition Debt obligations of the Dutch Scheme Parties, and enjoining such discharged and released obligations, as set forth herein.
Each Party’s decision to commit to enter into the transactions contemplated by this Agreement has been made independently and is based upon its own business judgment with the understanding that no Company Party has made any representations or warranties as to the success of the Restructuring Transactions or, ultimately, the confirmation of the Chapter 11 Plan or sanction of the WHOA Plan.
