Prior to the Closing, the Company shall use commercially reasonable efforts to (i) cause GE Commercial Distribution Finance Corporation to enter into (A) an intercreditor and subordination agreement regarding amounts payable, and security interests granted, under the GE Wholesale Financing Agreement and (B) an amendment to the GE Wholesale Financing Agreement, (ii) cause Electrolux Home Products, Inc.
This Amendment amends the Agreement and all references to the Existing Wholesale Financing Agreement or to the Agreement in any of the Existing Security (including in any waiver or consent) shall be deemed to refer to the Agreement as amended hereby.

In addition to, and not in diminution of, the foregoing and the other rights and remedies of AT&T hereunder, any failure by Dealer to fully and faithfully perform and observe all provisions of this Agreement for Wholesale Financing ("Agreement") shall constitute grounds for AT&T to refuse to extend any further credit to Dealer and/or reduce the amounts of credit made available to Dealer.
