The program will be implemented by the Denver Collaborative Partnership (DCP), in close coordination with the Denver Juvenile Services Center (DJSC) and the Denver Department of Public Safety. Target PopulationThe target population of interest is Denver County youth, age 10 to 17, who have run away from their homes or guardians. Purposes of the Evaluation‌ Impact Study‌ The purpose of the impact study is to assess the impact of rapid response to runaway youth on both program participation and both criminal justice and/or human services involvement. These will be examined through the following areas: • Programming outcomes related to timeliness of response, amount of contact, uptake into one of several programs. • Youth outcomes at one and two years for success triggers, all program outcomes and exploratory analyses The impact study will be a randomized control trial that is based on an intent-to-treat model. This means that the runaway youth are only randomized once, and their outcomes are “counted” regardless of their level of participation in the intervention or subsequent programming. The Pay for Success triggers reflect a balance of both approaches and were selected based on power analyses and feasibility of being confident that the findings are attributable to the intervention. Process Study‌ The purpose of the process study is to determine the degree to which the rapid response for runaway youth program was implemented with fidelity. Wind-Down Services are defined as Dell’s provision of the following: (1) return of all Customer data;
Wind-Down Services means the following services to be rendered in connection with the wind-down and closing of the Bankruptcy Case and the Selling Entities’ estates: (i) treasury management in connection with such wind-down, including ongoing cash flow reporting, accounts payable processing, general accounting and tax (including sales tax) related support as needed, preparation of close period financials and other financial reporting, reconciliation of claims and Cure Payments, and “merchant of record” support; (ii) preparation of income tax returns and closure of disregarded entities; (iii) processing of payroll, provision of W-2 forms, and routine administration of healthcare, dental benefits, payroll, unemployment claims and audits, document retention, employee records and termination processing; (iv) the return of any Excluded Assets; (v) claims management with respect to real estate; (vi) legal services and litigation support (excluding provision of any legal advice which is prohibited under applicable Law or governing legal ethics) from in-house personnel in connection with the wind down, administration of claims, and any outstanding legal contingencies; (vii) use of offices with telephones and internet access at the providers’ facilities in connection with the foregoing; (viii) assistance with use of shared IT-related software packages and ancillary support services in connection with the foregoing; (ix) access to books, records and Contracts pursuant to Section 7.2(c); and (x) any additional services to be mutually agreed by Buyer and Seller; it being agreed and understood that the Wind-down Services will be limited to general and administrative services of the type expressly set forth in clauses (i) through (x) above, and in no event will such Wind-down Services include business operations services, including the liquidation or wind-down of any Excluded Assets or other assets of the Selling Entities (whether Justice inventory or otherwise) or management of the employees of the Selling Entities.

Examples of Wind-Down Services in a sentence

  • In the event that Synacor terminated this Agreement for cause due to Client’s failure to pay any amounts due and owing to Synacor, then Client shall be required to pay any outstanding amounts prior to Synacor providing such Wind-Down Services unless such amounts are in dispute, in which case Client shall be required to place all outstanding amounts in escrow with an independent third party pending resolution of such dispute.

  • Synacor shall also, during any period in which it is providing Wind-Down Services, use commercially reasonable efforts to provide such other reasonable transition assistance as may be required from time to time.

  • The terms and conditions upon which Synacor shall provide such Wind-Down Services shall be the same terms and conditions as shall have been in effect on the day preceding the date of such expiration or termination of this Agreement, subject to the modified fee structure specified in Schedule A for the Wind-Down Period, and Client commits that for the first [*] months of the Wind-Down Period, neither Client nor anyone on Client’s behalf, will redirect any traffic or migrate any users away from the Services.

  • The terms and conditions upon which Synacor shall provide such Wind-Down Services shall be the same terms and conditions as shall have been in effect on the day preceding the date of such expiration or termination of this Agreement, subject to the modified fee structure specified in Schedule A for the Wind-Down Period.

  • Upon an Early Termination Event that results in termination of this Contract, the Parties shall cooperate in the delivery of the Wind-Down Services.

  • When both Subaccounts hold funds, the Lead Provider shall pay Total Project Costs, including costs incurred by the Lead Provider to provide the Wind-Down Services (as hereinafter defined), first from the Direct Payments Subaccount and, when the Direct Payments Subaccount reaches a fund balance of $0.00, then from the Investment Funds Subaccount.

  • Payments from the Wind-Down Payment for Wind-Down Services are subject to and to be used solely as set forth in the budget and schedule attached as Exhibit 3.1(c) hereto (as may be amended from time to time by agreement of the Parties, subject to approval by Purchaser in its sole discretion and, solely with respect to compensation of the Committee’s professionals, 503(b)(9) Claims, and Stub Rent Claims (each as defined below), subject to approval by the Committee, the “Wind-Down Budget”).

  • Any costs incurred by Merchant in connection with providing the Wind-Down Services (as defined below) shall be subject to the Wind-Down Budget and subject to the Wind-Down Cap and Merchant shall have no obligation to provide such Wind-Down Services unless the cost to do so is included in the Wind-Down Budget or provided for as an Expense.

EXHIBIT C‌ THIS SUBCONTRACT SERVICE PROVIDER AGREEMENT (the “Contract”), is made this day of , 2018 (the “Effective Date”), by and between Colorado Seminary, a Colorado nonprofit corporation, which owns and operates the University of Denver (the “Project Sponsor”) and its Center for Effective Interventions at the Graduate School of Social Work (the "Lead Provider"), and (the "Service Provider"). The Lead Provider and the Service Provider may be referred to herein collectively as the parties or individually as a party. Unless otherwise defined herein, capitalized defined terms shall have the meaning set forth in the primary Pay for Success Contract and its Exhibits as executed by the State of Colorado (the “State”) and the Project Sponsor (referred to herein as the “Primary Contract”) as attached hereto as Exhibit A.
