Withdrawal Offer means a withdrawal offer made by the Responsible Entity in accordance with sections 601KB-601KE of the Corporations Act 2001 (Cth).

  • If the Responsible Entity has established a minimum number of Units for which an application can be made or a minimum number of Units which must be held at any time, then the Responsible Entity may treat a withdrawal request (including acceptance of a Withdrawal Offer), which if accepted, would lead a Member to hold fewer Units than that minimum number, as a request for the withdrawal of all that Member’s Units.

  • Ordinarily, Limited Withdrawal Offers will open in the month following the June or December quarter end, close in the second month following quarter end and be paid in the third month following quarter end.Limited Withdrawal Offer payments will be made at the prevailing Exit Price.

  • Failure to do so may result in your Withdrawal Offer Acceptance not being accepted.

  • As at the date of this PDS, there is no Buy Spread.The price applicable to redeem Units at a Liquidity Event or Limited Withdrawal Offer (i.e. Exit Price)is calculated as at the date of the redemption as the Unit Price less any Sell Spread to reflect the costs and expenses anticipated with selling the investments of, and winding up, the Fund and providing the relevant liquidity (or, subject to the Corporations Act, such greater amount as CHDPML determines from time to time).

  • The Fund operates as a non-liquid managed investment scheme and investors can only withdraw from the Fund in response to a Withdrawal Offer made by us.

  • The Manager will endeavour to make an Annual Withdrawal Offer, subject to the Fund having sufficient liquidity, if redemptions have been suspended for a period of 12 months or where no Redemption Offers have been made in the last 12 months.

  • The amount available under the Annual Withdrawal Offer will primarily depend on the liquidity available in the Fund, including the proceeds received from the redemption of units in or distributions from the Underlying Fund.

  • Withdrawal Notice shall have the meaning given in Section 2.1.6.

  • Final Offer means the offer on which a resource was dispatched by the Office of the Interconnection for a particular clock hour for the Operating Day.

  • Sell Offer means an offer to sell Capacity Resources in a Base Residual Auction, Incremental Auction, or Reliability Backstop Auction.

  • Withdrawal Event means the earliest to occur of any event which causes a Partner to cease to be a Partner, and to become a Former Partner, as set forth in Section 1.29.

  • Change of Control Offer has the meaning provided in Section 4.15.

  • Initial Offer means the initial offer of Participating Shares in a Fund as set out in the applicable Supplement;

  • Withdrawal Date Any day during the period commencing on the 18th day of the month of the related Distribution Date (or if such day is not a Business Day, the immediately preceding Business Day) and ending on the last Business Day prior to the 21st day of the month of such Distribution Date. The “related Due Date” for any Withdrawal Date is the Due Date immediately preceding the related Distribution Date.

  • Withdrawal Order is defined in Section 6.

  • Withdrawal Request means an instruction given via the Client's Trader’s Room on the Company website to withdraw funds from the trading account and transfer them to the Client's External Account or the Account of the Client's Authorized Person, as specified in the instruction.

  • Notice of Purchase Withdrawal Has the meaning specified in the Deposit Agreement.

  • Firm Transmission Withdrawal Rights means the rights to schedule energy and capacity withdrawals from a Point of Interconnection of a Merchant Transmission Facility with the Transmission System. Firm Transmission Withdrawal Rights may be awarded only to a Merchant D.C. Transmission Facility that connects the Transmission System with another control area. Withdrawals scheduled using Firm Transmission Withdrawal Rights have rights similar to those under Firm Point-to-Point Transmission Service.

  • Single Withdrawal Tranche means the amount of the Loan allocated to the category entitled “Single Withdrawal Tranche” in the table set forth in Part B of Section II of Schedule 1 to this Agreement.

  • Final Withdrawal Notice Has the meaning specified in Section 5.02 of this Trust Supplement.

  • Initial Offer Period means the period determined by the Directors during which Shares of any class are offered by the ICAV for purchase or subscription at the Initial Price.

  • Withdrawal Period has the meaning specified in Section 10.23(b).

  • Tender Notice means the Tender Notice set out in Part 1 of this TenderDocument;

  • Withdrawal certificate means a document known as a withdrawal of a certificate of noncompliance provided by the child support unit certifying that the certificate is withdrawn and that the board may proceed with issuance, reinstatement, or renewal of a license.

  • Repurchase Request Withdrawal As defined in Section 2.03(a) of this Agreement.

  • Free Withdrawal Amount ’ means an amount equal to the percentage, stated in the Data Pages, of the Annuity Account Value, minus the total of all prior withdrawals (and associated Withdrawal Charges) made as described in Section 5.01 in the current Contract Year that may be withdrawn each Contract Year without incurring a Withdrawal Charge. We have the right to change the Free Withdrawal Amount, but it will always be a percentage between 5% and 30% if so provided in the Data Pages.

  • Suspension/Withdrawal Event means, in respect of the Benchmark:

  • withdrawal agreement means an agreement (whether or not ratified) between the United Kingdom and the EU under Article 50(2) of the Treaty on European Union which sets out the arrangements for the United Kingdom's withdrawal from the EU.

  • Offered Amount has the meaning set forth in Section 2.05(a)(v)(D)(1).

  • Initial Offer Price means the initial price payable for a Share as specified in the relevant Supplement for each Fund.

  • Notice of Withdrawal means a notice containing the information set out in Schedule VII;

  • Cash Withdrawal means a disbursement of funds in any currency from any Account out of the balance in your favour (whether or not in the form of cash) made or obtained through or in connection with any Citibank ATM/ Debit Card.
