The Purchaser shall ensure that all use of the Wockhardt Names and Marks by the Purchaser as provided in this Clause 8.2 shall be only with respect to goods and services of a level of quality equal to or greater than the quality of goods and services with respect to which the Business Undertaking used the Wockhardt Names and Marks prior to the Closing.
The Purchaser further acknowledges that the Purchaser has no right or interest, and is not acquiring any right or interest to use the Wockhardt Names and Marks, except as expressly provided herein.
Upon the expiry of the License Period, the Purchaser shall cause the removal or obliteration of all Wockhardt Names and Marks from such Existing Stock or other Inventory or cease using such Existing Stock or Inventory bearing Wockhardt Names and Marks.
Any and all goodwill generated by the use of the Wockhardt Names and Marks, including under this Clause 8.2, by the Purchaser shall inure solely to the benefit of the Seller.
In any event, the Purchaser shall not use the Wockhardt Names and Marks in any manner that may damage or tarnish the reputation of the Seller or the goodwill associated with the Wockhardt Names and Marks.
