Words and expressions used herein shall have the same meanings as in the Head Charter unless defined herein to the contrary or the context otherwise requires. In addition the following expressions shall have the following meanings:

More Definitions of Words and expressions

Words and expressions used herein and defined in the Credit Agreement shall have the same meanings herein as therein defined. The Advances shall bear interest at the rate per annum which is equal to, in respect to each applicable Interest Period, (a) LIBOR plus (b) the Margin, as provided in Clause 8.1 of the Credit Agreement (the "Applicable Rate"). Any payments made pursuant to a Commitment Reduction or any other payments in respect of the Revolving Credit Facility not paid when due, whether by acceleration or otherwise, shall bear interest hereafter at a rate per annum equal to two percent (2%) over the Applicable Rate from time to time. All interest shall accrue and be calculated on the actual number of days elapsed on the basis of a 360 day year. The Agent may endorse the amount and the date of the making of each Advance and any payment or prepayment thereof on the grid annexed hereto and made a part hereof, which endorsement shall constitute prima facie evidence of the accuracy of the information so endorsed; provided, however, that any failure to endorse such information on such grid shall not in any manner affect the obligation of any of the Borrowers to make payment of principal and interest in accordance with the terms of this Note. If this Note or any payment required hereunder becomes due and payable on the day which is not a Banking Day the due date thereof shall be extended until the next following Banking Day unless such next following Banking Day falls in the following calendar month, in which case this Note or any payment required hereunder shall be due on the immediately preceding Banking Day. Any interest shall be payable during any such extension at the rate applicable immediately prior thereto.
