The calculation of the Net Working Capital, Inventory and the Cash shall be based on the Closing Accounts if Purchaser does not within thirty (30) days after receipt of the Closing Accounts provide the Seller with a written report asserting that the Closing Accounts received from Seller are incorrect applying the applicable rules under this Agreement by way of stating substantiated objections to that effect (the Objections).
For the purposes of the calculation of Certified Working Capital, Inventory will be valued based on an inventory count by representatives of the Vendor conducted in the presence of representatives of the Purchaser as of the close of business on the Business Day immediately preceding the Closing Date.
Accordingly, the Parties agree that, if the results of such physical count of Inventory are not available as of the Closing Date, then, for purposes of determining the Estimated Working Capital, Inventory shall be calculated as set forth in Part 1 of Exhibit C.
