Agent shall not otherwise be required to determine whether the applicable conditions precedent set forth in Section Six have been satisfied or the requested Borrowing would exceed the Excess Availability on the Funding Date applicable thereto prior to making, in its discretion, a request that Wxxxx Fargo fund any Non-Ratable Loan.
Borrowers may request and Wxxxx Fargo may, in its sole and absolute discretion, arrange for Borrowers to obtain, from Wxxxx Fargo, Wxxxx Fargo’s Affiliates or the other Lenders, Bank Products although Borrowers are not required to do so.
Agent shall record on its books the principal amount of the Revolving Loans owing to each Lender, including the Non-Ratable Loans owing to Wxxxx Fargo, and the Agent Advances owing to Agent, from time to time.
Wxxxx Fargo and its Affiliates may make loans to, issue letters of credit for the account of, accept deposits from, acquire equity interests in and generally engage in any kind of banking, trust, financial advisory, underwriting or other business with any Borrower and its subsidiaries and Affiliates as though Wxxxx Fargo were not Agent hereunder and without notice to or consent of Lenders.
Agent shall not request Wxxxx Fargo to make any Non-Ratable Loan if (A) Agent shall have received written notice from any Lender that one or more of the applicable conditions precedent set forth in Section Six will not be satisfied on the requested Funding Date for the applicable Borrowing, or (B) the requested Borrowing would exceed the Excess Availability on such Funding Date.
