XSG Acquisition Documents means (i) the Share Purchase Agreement dated as ------------------------- of December 18, 1997 among the Company, Worldwide, APA Expert Beteiligungsgesellschaft mbH and APA German European Ventures L.P. Limited Partnership and (ii) the Share Purchase Agreement dated as of December 18, 1997 among the Company, Worldwide and the shareholders of XSG named therein.
