XXX Percentage definition

XXX Percentage means, with respect to any XXX Measurement Date, the following, as applicable: (i) if the XXX on such XXX Measurement Date is less than 2.0, the XXX Percentage for such XXX Measurement Date will be 0%; provided, that, solely if the XXX Percentage is being determined in connection with a Liquidity Event, then (x) if the XXX on such XXX Measurement Date is equal to or less than 1.0, the XXX Percentage for such XXX Measurement Date will be 0% and (y) if the XXX on such XXX Measurement Date is greater than 1.0 but less than 2.0, then the XXX Percentage for such XXX Measurement Date will be determined by straight line interpolation between 1.0 and 2.0, and (ii) if XXX on such XXX Measurement Date equals at least 2.0, the XXX Percentage for such XXX Measurement Date will be 25%. For every additional 0.5 of XXX on such XXX Measurement Date in excess of 2.0, the XXX Percentage for such XXX Measurement Date will increase by an additional 25% (provided, that the XXX Percentage shall never exceed 100%) and the additional XXX Percentage between any such increments of 0.5 of XXX on such XXX Measurement Date will be determined by straight line interpolation. By way of example and for illustration purposes only: (A) if the XXX Measurement Date is a Liquidity Event and XXX on such XXX Measurement Date equals 1.5, then the XXX Percentage for such XXX Measurement Date will equal 0.25 multiplied by 50%, or 12.5%; (B) if XXX on such XXX Measurement Date equals 2.0, then the XXX Percentage for such XXX Measurement Date will equal 25%; and (C) if XXX on such XXX Measurement Date equals 3.0, then the XXX Percentage for such XXX Measurement Date will equal 25% plus 2 multiplied by 25% or 75%.
XXX Percentage means an amount, expressed as a percentage in respect of any Jointly-Owned System and any class of service, equal to [***]% of the capacity to which Provider has entitlement with regard to such class of service on such Jointly-Owned System.
XXX Percentage means, with respect to any Retained Unitholder, the percentage set forth below: • TSLI – 9.221%; • Agabs – 0.671%; and • Xxxxxxxx – 0.559%.

Examples of XXX Percentage in a sentence

  • Since the Return on Equity exceeds the Threshold Vesting XXX Percentage in this example by 3.6% (or 36 one-tenth of one percent increments), the Vesting percentage shall be 68% (20% plus (1⅓% multiplied by 36)).

  • To illustrate, if, for the Performance Period, the Full Vesting XXX Percentage is 18.0%, the Threshold Vesting XXX Percentage is 12.0%, and the Return on Equity is 15.6%, then the Incremental Percentage is 1⅓% (80% divided by (10 multiplied by (18.0% minus 12.0%))).

  • In the event that the Company delivers a Section 3.3(d) Election Notice to the Holder, then effective as of the applicable XXX Measurement Date, the DPAs shall vest with respect to that number of Post-Termination Vesting Eligible Shares equal to the product of (i) the number of Post-Termination Vesting Eligible Shares, multiplied by (ii) the XXX Percentage with respect to the applicable XXX Measurement Date.

  • No later than thirty (30) days following a Vesting Event, the Company shall provide written notice to the Holder setting forth the Initial Share Value, the XXX, the XXX Percentage, the number of DPAs that vested on the applicable Vesting Event, if any, and, if such Vesting Event is the Final Vesting Event or occurs pursuant to Section 3.3(d), the number of DPAs that were forfeited without consideration or payment on such Vesting Event.

  • The Section 3.3(d) Election Notice shall include the Initial Share Value, the XXX, the XXX Percentage, the number of Post-Termination Vesting Eligible Shares that will vest effective on the XXX Measurement Date and the number of Post-Termination Vesting Eligible Shares that will be forfeited, in each case assuming that the date of the termination of the Holder’s Employment is the XXX Measurement Date.

  • Upon the Final Vesting Event, that number of DPAs will vest equal to the product of (x) the number of DPAs granted to the Holder that have not previously vested or been forfeited, multiplied by (y) the XXX Percentage with respect to such Final Vesting Event; provided, that, if such calculation produces a negative number, zero DPAs will vest.

  • The number of Liquidity Event Vesting DPAs that will vest upon the closing of any such Liquidity Event will be the product of (x) the number of Liquidity Event Vesting DPAs, multiplied by (y) the XXX Percentage with respect to such Liquidity Event; provided, that, if such calculation produces a negative number, zero DPAs will vest.

  • If the Final Vesting Event has not been completed prior to the fourth anniversary of the Closing (the “Fourth Anniversary Vesting Event”), then that number of DPAs will vest equal to the product of (x) the number of DPAs granted to the Holder that have not previously vested or been forfeited, multiplied by (y) the XXX Percentage with respect to such Fourth Anniversary Vesting Event; provided, that, if such calculation produces a negative number, zero DPAs will vest.

  • Pursuant to various agreements between NYCEDC and The City, the net revenue from three of the properties is retained for property operating and capital expenses or for expenses of projects in the area.

  • If an IPO has not been completed prior to the sixth anniversary of the Closing (the “Sixth Anniversary Vesting Event”), then that number of unvested Shares subject to the Option equal to the product of (i) the number of Shares subject to the Option that have not vested or been forfeited prior to the sixth anniversary of the Closing, multiplied by (ii) the XXX Percentage with respect to the applicable XXX Measurement Date shall vest and become exercisable as of the sixth anniversary of the Closing.

  • PO Percentage As to any Discount Mortgage Loan, a fraction (expressed as a percentage) the numerator of which is the excess of the Required Coupon over the Adjusted Net Mortgage Rate of such Discount Mortgage Loan and the denominator of which is such Required Coupon. As to any Non-Discount Mortgage Loan, 0%.

  • L/C Percentage as to any L/C Lender at any time, the percentage of the Total L/C Commitments represented by such L/C Lender’s L/C Commitment, as such percentage may be adjusted as provided in Section 2.23.

  • NOLV Percentage the net orderly liquidation value of Inventory, expressed as a percentage, expected to be realized at an orderly, negotiated sale held within a reasonable period of time, net of all liquidation expenses, as determined from the most recent appraisal of Borrowers’ Inventory performed by an appraiser and on terms satisfactory to Agent.

  • Shift Percentage As to any Distribution Date occurring during the five years beginning on the first Distribution Date, 0%.   • Funding Percentage means with respect to any Payment Date, the percentage derived from the fraction the numerator of which is the Pre-Funded Amount and the denominator of which is the sum of the aggregate Principal Balance of Receivables transferred to the Trust and the Pre-Funded Amount, in each case, as of the last day of the related Collection Period.

  • Cash Percentage shall have the meaning specified in Section 14.02(a)(iii).

  • Funded Percentage means, with respect to any Lender at any time, a percentage equal to a fraction the numerator of which is the amount actually disbursed and outstanding to Borrower by such Lender at such time and the denominator of which is the total amount disbursed and outstanding to Borrower by all of the Lenders at such time.

  • Target Percentage means those percentages assigned to Participants pursuant to Section 3.2 hereof.

  • Sharing Percentage means, with respect to any Member, a percentage, expressed as a fraction the numerator of which is the number of Units held by such Member and the denominator of which is the aggregate number of Units held by all Members.

  • Allocable Percentage means, on any date of determination thereof, a fraction the denominator of which shall be equal to the number of Borrowers who are parties to this Agreement on such date and the numerator of which shall be 1; provided, however, that such percentages shall be modified in the event that contribution from a Borrower is not possible by reason of insolvency, bankruptcy or otherwise by reducing such Borrower’s Allocable Percentage equitably and by adjusting the Allocable Percentage of the other Borrowers proportionately so that the Allocable Percentages of all Borrowers at all times equals 100%.

  • Average Contribution Percentage means the average of the Contribution Percentages of the Eligible Participants in a group.

  • Pool Percentage With respect to each Mortgage Pool and any Distribution Date, the fraction, expressed as a percentage, the numerator of which is the Pool Balance for such Mortgage Pool for such date and the denominator of which is the Aggregate Pool Balance for such date.

  • Note Percentage means (i) for each Payment Date until the aggregate principal amount of each Class of Notes has been paid in full, 100%; and (ii) thereafter, 0%.

  • Allocation Percentage means, with respect to any Monthly Period, the percentage equivalent of a fraction:

  • Revolving Percentage as to any Revolving Lender at any time, the percentage which such Lender’s Revolving Commitment then constitutes of the Total Revolving Commitments (or, at any time after the Revolving Commitments shall have expired or terminated, the percentage which the aggregate principal amount of such Lender’s Revolving Loans then outstanding constitutes of the aggregate principal amount of the Revolving Loans then outstanding).

  • Participation Percentage means the rounded percentage of the total actual Project costs that will be contributed by the OPWC, not to exceed the maximum dollar contribution of the OPWC identified in this Project Agreement, and the rounded percentage of the total actual Project costs that will be contributed by the Recipient. Both percentages are identified in Appendix B. If the total actual Project costs exceed the estimated Project costs identified in Appendix B, the Local Subdivision Participation Percentage will increase to reflect the cost overrun, while the OPWC percentage contribution will decrease recognizing that there is a maximum dollar contribution from the OPWC which is identified in this Project Agreement.

  • Total Percentage means, with respect to any Lender at any time, the ratio (expressed as a percentage) of such Lender’s Aggregate Exposure at such time to the Aggregate Exposure of all Lenders at such time.

  • Non-PO Percentage As to any Discount Mortgage Loan, a fraction (expressed as a percentage) the numerator of which is the Adjusted Net Mortgage Rate of such Discount Mortgage Loan and the denominator of which is the Required Coupon. As to any Non-Discount Mortgage Loan, 100%.
