Xxxxx Group definition

Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

Xxxxx Group means the Xxxxx Entities and any Person controlled, directly or indirectly, by Xxxxx other than the Partnership Entities.

Xxxxx Group shall have the meaning set forth in Section 11.2 hereof.

More Definitions of Xxxxx Group

Xxxxx Group means the Estate of Xxxxxx X. Xxxxx and trusts created thereunder, Xxxxxx X. Xxxxx, Xxxx X. Xxxxx, Xxxxxx X. Xxxxxxx, Xxxxxx Xxxxxx and Xxxxxxx Ean Xxxxx and any trust over which such Persons have sole voting power.

Xxxxx Group means: (i) O. Xxxxxx Xxxxx (“Xxxxx”) and his guardian, conservator, committee or attorney in fact; (ii) each lineal descendant of Xxxxx (each, a “Descendant”) and their respective guardians, conservators, committees or attorneys in fact; and (iii) each Family Controlled Entity; and (b) the term “Xxxxx Family Member” means, individually and collectively, (i) O. Xxxxxx Xxxxx; (ii) any spouse or immediate family member of O. Xxxxxx Xxxxx (individually, and collectively with O. Xxxxxx Xxxxx); and (c) the term “Family Controlled Entity” means: (i) any not for profit corporation if at least 80% of its Board of Directors is composed of Xxxxx and/or Descendants; (ii) any other corporation if at least 80% of the value of its outstanding equity is owned by members of the Xxxxx Group; (iii) any partnership if at least 80% of the value of the partnership interests are owned by members of the Xxxxx Group; (iv) any limited liability or similar company if at least 80% of the value of the company is owned by members of the Xxxxx Group; and/or (v) any trust if (A) at least 80% of the current beneficiaries of the trust are members of the Xxxxx Group or (B) members of the Xxxxx Group have sole dispositive power and sole voting power with respect to at least 80% of the shares of Class B Common Stock in the Company held by the trust.

Xxxxx Group means Xxxxxxxxxx Xxxxxxxxxxx Xxxxxxx (now known as Xxxxxxxxxxxxx Xxxxxxx Xxxxxxx), Xxxxxxx Xxxxxxxxxx Xxxxxxx Xxxx Xxxxxxx, Chintanika Xxxxxxx, Xxxxx Snacks Private Limited and Xxxxxxxxxxxxx Xxxxxxx Xxxxxxx – HUF, and any companies, partnerships or other entities associated with any of the foregoing individuals and entities in any manner.

Xxxxx Group means Xxxxxxxxxxx Xxxxx and his estate and trusts created for the benefit of members of his immediate family, Xxxxx Resource and Development Company and Charterwood Holdings LLC.

Xxxxx Group means Dalian Xxxxx Group Co., Ltd., a Chinese private conglomerate and any of its Affiliates.

Xxxxx Group means (a) Xxxxxx Xxxxx, (b) the spouse, lineal descendants and spouses of the lineal descendents of Xxxxxx Xxxxx, (c) trusts created in whole or in part for the benefit of any or all of the Persons named in clauses (a) and (b) above, and estates and legal representatives of the Persons named in clauses (a) and (b) above, and (d) any corporation, limited liability company, partnership, or other entity controlled by the Persons named in clauses (a) and (b) above.

Xxxxx Group means, collectively, the Parent and its Subsidiaries (but excluding, for all purposes other than the financial statements, Unrestricted Subsidiaries).
