Xxxxx Notes definition

Xxxxx Notes means the 10-7/8% Bonds due 2020 of Xxxxx issued under the Trust Deed between Xxxxx and The Law Debenture Trust Corporation p.l.c. dated January 10, 1989.

Xxxxx Notes means those certain promissory notes originally issued by IT&E International Group, Inc., a Delaware corporation and predecessor to the Company, dated July 31, 2006, as follows: (i) promissory notes with a repayment term of two (2) years in the original aggregate principal amount of $700,000 (of which $566,242 in principal amount was issued directly to Xx. Xxxxxx X. Lavin); and (ii) promissory notes with a repayment term of five (5) years in the original aggregate principal amount of $5,700,000 (of which $4,610,828 in principal amount was issued directly to Xx. Xxxxxx X. Lavin).

Xxxxx Notes means the letter agreement between Xxxxxx Xxxxx and Parent, dated October 25, 2012, providing for, among other things, payment of $484,058.03 and the promissory note made by Parent, payable to Xxxxxx Xxxxx, in the principal amount of $3,027,364.37.

Xxxxx Notes means, collectively, (i) that certain Promissory Note due June 30, 2020, dated as of the date hereof, in the initial principal amount of $2,630,750 issued in favor of Xxxxx Fund, Inc. (the “June 30, 2020 Xxxxx Note”) and (ii) that certain Promissory Note dated as of the date hereof in the initial principal amount of $2,630,750 due December 31, 2020 issued in favor of Xxxxx Fund, Inc.
