Xxxxx Option definition

Xxxxx Option means the option to purchase up to 2,250,000 shares of Common Stock granted by TLB to Capital Z Financial Services Fund II, L.P.

Xxxxx Option is defined in Clause 6.5(a)(ii).

Xxxxx Option means the Company Option granted to Xxxx Xxxxx on January 2, 2017 to purchase 200,000 shares of Company Common Stock.

• Other than as provided in paragraph (a) above and in the prior sentence of this paragraph (b), as of and after the Effective Time, each Xxxx Xxxxx Option shall be subject to the same terms and conditions as in effect immediately prior to the Effective Time, but giving effect to the Merger (it being understood that all Xxxx Xxxxx Options exercisable at the same price and granted on the same date shall be aggregated for this purpose).

Xxxxx Option has the meaning specified therefor in Section 2.13(a) of the Agreement.

Xxxxx Option means the entitlement of Xxxxxx X.
