Xxxxx Party definition

Xxxxx Party or “Xxxxx Parties” has the meaning set forth in the definition of “Sponsor”.

Xxxxx Party means each Borrower, the Servicer, each Originator and the Performance Guarantor.

Xxxxx Party means Xxxxxxx Xxxxx, his wife, his children, his grandchildren, and trusts of which he, his wife, his children and his grandchildren are the sole beneficiaries and for which one or more of such individuals are the trustee(s).

• The institution of any litigation, arbitration proceeding or governmental proceeding with respect to any Xxxxx Party which could reasonably be expected to have a Material Adverse Effect.

• The facts regarding each Xxxxx Party, the Receivables, the Related Security and the related matters set forth or assumed in each of the opinions of counsel delivered in connection with this Agreement and the Transaction Documents are true and correct in all material respects.

Xxxxx Party and “Xxxxx Parties” have the meaning set forth in this Section 1.

Xxxxx Party or “Xxxxx Parties” has the meaning set forth in the Preamble.

Xxxxx Party means (a) any Xxxxx Initial Investor, (b) any Affiliate of any Xxxxx Initial Investor, (c) any separate account, fund or other investment vehicle or other Person managed and/or advised by Xxxxx Investment Management LLC and any of its Affiliates and (d) any Person to whom any Xxxxx Party makes a disposition of all or any portion of the Securities pursuant to clauses (i)(A), (i)(C) or (i)(D) of the final paragraph in Section 5.8 and in accordance with the terms hereunder and any of its Affiliates.

Xxxxx Party shall have the meaning ascribed to such term in Section 5.2.

Xxxxx Party means (a) Xxxxxxxx Xxxxx and/or Xxxxxxx Xxxxx; (b) any natural Person employed by Xxxxxxxx Xxxxx Company, Inc. in an executive capacity; (c) a lineal descendant of Xxxxxx Xxxxxx or the spouse of any such descendant; or (d) any Person not less than 25% of the Capital Stock of which is owned or held, directly or indirectly, by or for the benefit of any or all of (i) any immediate family member (i.e., parent, sibling, spouse or child) of Xxxxxx X. Xxxxxx and/or (ii) any lineal descendent of Xxxxxx X. Xxxxxx and/or (iii) any immediate family member (i.e., parent, sibling, spouse or child) of any such lineal descendent.

Xxxxx Party means (a) Hampton Investments LLC, SOLVation Inc., any of their Affiliates, or any member, fund participant, holder of a beneficial interest, as of August 2, 2001, in any of the foregoing, or party to an investment management or similar agreement with any of the foregoing, as of August 2, 2001, (b) any immediate family member of any Person falling within (a) above, (c) any direct lineal descendant of any Person falling within (a) or (b) above,

Xxxxx Party means (a) Hampton Investments LLC, SOLVation Inc., ----------- any of their Affiliates, or any member, fund participant, holder of a beneficial interest, as or the date hereof, in any of the foregoing, or party to an investment management or similar agreement with any of the foregoing, as of the date hereof, (b) any immediate family member of any Person falling within (a) above, (c) any direct lineal descendant of any Person falling within (a) or (b) above, (d) any trust established for the benefit of any Person falling within (a) to (c) above and (e) any Person controlling, controlled by or under common control with any Person falling within (a) to (d) above.
