Xxxxx Platform definition

Xxxxx Platform means Xxxxx'x IT systems (which includes any soft- or hardware and provided by third party providers) that are used to run the Cloud Services.

Xxxxx Platform means the system of processing, paying and settlement related to the purchase, sale and payment of Receivables through one or more computerized systems and related services, equipment and software, including, without limitation, e-mail and Internet or intranet websites, for purposes of (a) the confirmation of Receivables that are acceptable to Buyer pursuant to a Buyer Confirmation Notice, (b) the offer of such Receivables that are subject to a Buyer Confirmation Notice by Supplier to Xxxxx for sale and the purchase by Xxxxx from Supplier of such Receivables subject to the terms and conditions of this Agreement, and (c) the payments and settlements in respect of such Receivables.

Xxxxx Platform means the online, Web-based applications and safety training platform that includes Alert, Lockdown, Inform, Counter and Evacuate (XXXXX) strategies, SafePlans, or ERIP as provided by Us via xxxx://xxx.XxxxxXxxxxxxx.xxx, xxxx://XxxxXxxxx.xxx, xxxx://XXXX.xxx or a related web address, that are ordered by You as part of this Agreement. ONCE ORDERED, THE XXXXX PLATFORM IS NOT CANCELABLE.

• For the avoidance of doubt, the previous relates only to technical and analytical data relating to the operation and use of the Xxxxx Platform and the Cloud Services themselves, not the Client and User data, which shall at all times belong to Client, User or to such third party as may be the case.

• Subject to the terms and conditions of this Agreement and any applicable Order, Xxxxx xxx impose limits on Customer’s bandwidth use and file hosting storage used by Customer with the Xxxxx Platform or impose additional fees or throttle Customer’s file hosting with the Xxxxx Platform if Customer exceeds such limits.

• If Supplier selects the Selective Discount Option pursuant to the Supplier Application (or thereafter as Xxxxx and Supplier may agree), subject to the terms and conditions in this Agreement, Xxxxx may from time to time notify Supplier through the Xxxxx Platform that Xxxxx has received a Buyer Confirmation Notice with respect to Receivables.

• The notice by Xxxxx to Supplier that Xxxxx has received a Buyer Confirmation Notice as to any Receivables, the rejection or acceptance by Xxxxx of any offer to purchase any Receivables and other notices that may be submitted by the respective parties hereunder shall be effected pursuant to the Xxxxx Platform or such other electronic transmission in accordance with the terms of the arrangements of Xxxxx specified to Supplier from time to time for such purpose.

• Upon receipt of such notice from Xxxxx, Supplier shall, using the Xxxxx Platform, either (i) select all of such Receivables to be offered for sale to Xxxxx or (ii) select only certain of such Receivables to be offered for sale to Xxxxx.

• In the event that Xxxxx elects to accept any such offer as to any Receivables, Xxxxx at its option shall, subject to the conditions provided below and using the Xxxxx Platform, send notice of the acceptance by Xxxxx of such offer and designate when the Purchase Price for the Receivables will be deposited in the deposit account of Supplier as provided below within the time period in accordance with the Purchase Price option selected by Supplier as set forth on Exhibit A hereto.

• Xxxxx will make Payments when requested by the Producer through the “Request Payment” button inside the Producer’s Earnings page within the Xxxxx Platform.

• As between the parties, Xxxxx shall have all right, title and interest in the Websites, Xxxxx Platform and Approved Content, and all respective features, templates and content made available by Xxxxx to Affiliate through those channels.

• COMPANY IS NOT RESPONSIBLE FOR ANY DELAYS, DELIVERY FAILURES, OR OTHER DAMAGE, WHETHER DIRECT, INDIRECT OR CONSEQUENTIAL, OR IMMEDIATELY KNOWN OR UNKNOWN, RESULTING FROM INTERNET OR SYSTEM DELAYS OR LIMITATIONS.

Xxxxx Platform means Xxxxx’ dedicated dashboard to which Affiliate will get access and track performance and analytics. The Approved Content list will be made available to Affiliate via the Xxxxx’ Platform.

Xxxxx Platform means the HTS System identified internally within HTS and its Affiliates as the "Xxxxx" platform (or any new identification for the same platform), including any modifications or enhancements to such platform (excluding "Charlie", later and other platforms) developed by HTS or its Affiliates and introduced commercially in the U.S. for use in connection with the Dish Network. 1.7 "Catastrophic Failure" means that: (i) 10% or more of all OEM Products sold by HTS to Philips during any given calendar quarter; (ii) 10% or more of all Smart Cards sold by HTS to Philips during any given calendar quarter; or (iii) 10% or more of all Philips Products and/or DISH Branded Philips Products sold by Philips during any given calendar quarter are returned by end-users due to a failure of the OEM Products, Smart Cards, Philips Products, or DISH Branded Philips Products, as the case may be, to operate in accordance with their specifications.

Xxxxx Platform means the HTS System identified internally within HTS and its Affiliates as the "Xxxxx" platform (or any new identification for the same platform), including any modifications or enhancements to such platform (including the "Bones" and "Bravo" platforms, but excluding the "Charlie", later and other platforms) developed by HTS or its Affiliates and introduced commercially in the U.S. for use in connection with the Dish Network.

Xxxxx Platform means the Xxxxx mobile application (available on iOS and Android devices) and Xxxxx website (xxx.xxxxx.app) owned and operated by the parent company of Xxxxx XX, Xxxxx Holdings, Inc..
